Kesoram Industries’ record is a story of two balance sheets: the standalone entity is debt-free after a transformative demerger, but that clean surface rests on a decade of impairments, waived related-party loans, and contested liabilities. The audit opinion has been unqualified since FY2021, yet the auditor has flagged a prejudicial loan and a subsidiary investment whose carrying value depends on management’s growth-rate assumptions.
Key findings
- A ₹125.63 crore arbitration award went against the company, and a ₹917.23 crore claim is pending
Major- An arbitration award for ₹125.63 crore was passed against Kesoram on 20 March 2023 in favour of Mintech Global Private Limited, and both parties have challenged it before the High Court at Calcutta. The company deposited ₹125 crore by way of fixed deposit receipt with the Registrar of Calcutta High Court against this award. Separately, JK Tyre & Industries Ltd has claimed ₹917.23 crore plus interest for alleged breach of a Share Purchase Agreement, while the company has filed a counterclaim of ₹17.09 crore; liability under this case is not yet crystalized. - Auditor flagged impairment of Cygnet investment as a Key Audit Matter
Major- In FY26 standalone, Kesoram recognised a ₹101 crore impairment on its investment in Cygnet Industries Limited, a ₹55.19 crore expected credit loss on loans to the same subsidiary, a ₹41.72 crore provision on remeasurement of factory land, and a ₹44.24 crore write-off of interest receivable, together totalling ₹242.15 crore in exceptional items. Over three years, cumulative impairment on the Cygnet investment alone reached at least ₹306.22 crore. The auditor reported a Key Audit Matter on the impairment assessment of investments in and loans to Cygnet Industries Limited, focusing on the significant estimates and judgments in the valuation of the subsidiary's underlying net assets. - The company repeatedly funded loss-making related entities through loans that were later impaired, converted to equity, or had interest waived
Major- The auditor reported that a ₹7.11 crore loan to joint venture Gondkhari Coal Mining Limited as at 31 March 2020 was granted without any agreement specifying terms and conditions and was therefore “prejudicial to the Company’s interests”; the principal was fully provided for and no interest was charged. A ₹496.49 crore loan to Cygnet Industries Limited was converted into equity shares at face value in FY2020-21, and the Board approved waiver of ₹44.24 crore of accumulated interest on loans to the same subsidiary in FY2025-26. Every annual report from FY2019-20 through FY2025-26 states that no materially significant related party transactions requiring disclosure in Form AOC-2 were entered into. - Demerger gain split between P&L and reserves; impairment booked same year; DTA limited to DTL
Major- The Composite Scheme of Arrangement demerging the Cement Business became effective on 1 March 2025. The fair value was debited to general reserve/retained earnings, and the difference between book value and fair value was recognised in the Statement of Profit and Loss. The demerger generated a one-time gain of ₹5,675.63 crore adjusted against Reserves in FY2024-25. In the same year, the company recognised an exceptional impairment provision of ₹190.00 crore on investments and loans to Cygnet Industries Limited. As at 31 March 2026, the standalone company recognised deferred tax assets only to the extent of deferred tax liabilities, with no additional DTA recognised on carry-forward losses. - Standalone borrowings fell to zero by FY26, but the path was paved with zero-coupon preference shares, 19%-coupon optionally convertible debentures, and promoter preference shares
Major- As at 31 March 2026, the standalone company reported zero borrowings, while the consolidated group reported total borrowings of ₹218 crore. In FY21, the company settled all its bank loans by issuing 4,48,97,195 Zero Coupon Optionally Convertible Redeemable Preference Shares of ₹100 each at par to a consortium of lenders, convertible within 18 months and redeemable in five equal tranches starting 31 March 2028. In the same year, it raised ₹459.90 crore through 4,599 unlisted Optionally Convertible Debentures carrying a 19% coupon, of which ₹309.33 crore face value was repaid in FY22, including a ₹293 crore repayment in January 2022. In FY23, the company raised ₹90 crore by issuing 5% Non-Convertible Cumulative Redeemable Preference Shares to promoter entity Manav Investment and Trading Company Limited with a ten-year tenure. - The group’s only operating subsidiary is persistently loss-making with deeply negative net worth, and the sole joint venture is a defunct coal SPV fully written off
Major- Cygnet Industries Limited reported negative net assets of 30.07 crore as at 31 March 2026 and a net loss of 37.46 crore for FY2026, with total income of ₹252.69 crore. The Group holds 45.46% of Gondkhari Coal Mining Limited, a joint venture whose coal block was de-allocated by the Supreme Court in 2014 and against which a full provision exists; the investment was written off during FY2023-24. - Walker Chandiok & Co replaced Deloitte Haskins & Sells as statutory auditor in FY23 after Deloitte completed a five-year term, with no resignations or adverse actions reported
Clean- Deloitte Haskins & Sells served as statutory auditors for five years from the 98th AGM and were replaced by Walker Chandiok & Co LLP at the 103rd AGM held on 17 June 2022, with the appointment resolution receiving 99.99% votes in favour. Walker Chandiok & Co LLP was appointed for a five-year term to the conclusion of the 108th AGM. No resignation of statutory auditors occurred during any disclosed year.
What to watch
- Change in control. Completion of the Share Purchase Agreement with Frontier Warehousing Limited, as the Acquirer was “in the process of completing the SPA” as of the FY2025-26 Annual Report.
- Subsidiary investment recoverability. Recovery or further impairment of the investment in and loans to Cygnet Industries Limited, which the auditor flagged as a Key Audit Matter in the FY2025-26 Annual Report.
- Related-party loan recovery. Recovery or further impairment of the 194.65 crore loan outstanding to Cygnet Industries Limited and 3.25 crore to Kesoram Textile Mills Limited as at 31 March 2026, both repayable on demand with no demand made during FY2025-26.
- Auditor term completion. Completion of Walker Chandiok & Co LLP’s five-year statutory audit term at the 108th AGM, expected in 2027.
Bottom line: This is a record of a company that has been financially restructured, legally contested, and demerged into a debt-free shell, but the shell still carries a history of funding related entities that were later impaired or written off. The Frontier Warehousing transaction will define what comes next. Until it closes, watch the carrying value of the Kesoram Textile Mills investment and whether the ₹917 crore JK Tyre claim moves closer to a liability.
