Kolte Patil Developers’ record carries a clean audit opinion across seven years, but that opinion sits atop a 57% revenue collapse, a web of on-demand loans to subsidiaries that the auditor has declined to opine on for five years, and a consolidated loss of ₹38 crore where 95% of losses sat in subsidiaries. Two GST show-cause notices totalling ₹162 crore landed in 2026 alone, while a prior-period error wiped ₹180.57 crore from goodwill.
Key findings
- Revenue collapsed 57% as occupancy-certificate delays blocked recognition
Major- Consolidated revenue fell 57.20% to ₹734.96 crore in FY2025-26, which management attributes to non-receipt of Occupancy Certificates deferring recognition under the Completed Contract Method. As at 31 March 2026, ten customers owed more than ₹100 lakhs each, accounting for approximately 77% of total consolidated trade receivables. Standalone credit-impaired receivables aged more than three years stood at ₹696 lakhs as at March 2023, with no expected credit loss added that year. - A dense web of on-demand loans to subsidiaries carries no repayment schedules
Major- The standalone auditor has reported for five consecutive years that the schedule of repayment on loans to subsidiaries and associates has not been stipulated, and has therefore declined to comment on the regularity of repayment. As at 31 March 2026, loans of ₹518.91 crore granted to companies were repayable on demand with no stipulated repayment schedule. At the August 2023 AGM, the resolution to approve material related-party transactions up to ₹800 crore per year drew 40.96% of public institutional votes cast against. - Internal-financial-controls opinions turned qualified for two years with IT weaknesses
Major- The statutory auditor issued unqualified opinions on standalone and consolidated financial statements for every year from FY2020 through FY2026. The internal-financial-controls opinion turned qualified in FY2024 for a material weakness in IT general controls and again in FY2025 for weaknesses in IT change management and the financial-statement closure process, before returning to unqualified in FY2026. The standalone entity incurred cash losses in three of the last five years, including ₹72.11 crore in FY2026. - Goodwill was restated downward by ₹180.57 crore after a prior-period error correction
Major- Consolidated goodwill and equity were each reduced by ₹180.57 crore as at March 2023 and April 2022, because the FY20 acquisition of a 50% stake in Kolte-Patil Integrated Townships Limited was restated from a goodwill transaction to a common control transaction. A further consolidated goodwill impairment of ₹23.46 crore was recognised in FY24 upon completion of the underlying projects. The standalone parent has cumulatively impaired ₹11.17 crore of investments across four subsidiaries since FY22. - Control shifted to Blackstone in August 2025 under a shareholders’ agreement
Minor- BREP Asia III India Holding Co VII Pte. Ltd. acquired a 40% equity stake on 11 August 2025 via preferential allotment and purchase from promoter sellers, obtaining joint control with existing promoters. The Shareholders’ Agreement grants the acquirer co-voting rights over appointment of key managerial personnel, fundraising, and the annual business plan. Three Whole-Time Directors from the promoter families and three Independent Directors resigned effective that same day, and the acquirer nominated three Non-Executive Directors. - The group is in a prolonged restructuring cycle with a shifting perimeter
Minor- BREP Asia III became the Holding Company with joint control on 11 August 2025, while the group sold or exited five entities in FY26 and converted two partnership entities into companies, turning ₹127.73 crore of current capital into loans. Consolidated loss was ₹38 crore against a standalone loss of ₹2 crore, meaning 95% of losses sat in subsidiaries. The Board approved a draft scheme on 22 May 2026 to amalgamate two more wholly-owned subsidiaries into the Company. - Statutory auditor rotated from Deloitte to SRBC in FY24 after maximum tenure
Clean- Deloitte Haskins & Sells LLP served from at least FY20 through FY23, and shareholders appointed S R B C & CO LLP at the August 2023 AGM for a five-year term ending in 2028. No resignation of statutory auditors occurred in any year from FY22 through FY26. The engagement partner within SRBC changed between FY25 and FY26.
What to watch
- GST show-cause notice dated 19 June 2026. Resolution of the ₹103.82 crore liability covering FY2020-21 to FY2025-26.
- GST demand order dated 6 April 2026. Resolution of the ₹58.23 crore demand for FY2019-20.
- Preferential issue proceeds. Deployment of the remaining ₹312.44 crore by the extended deadline of 22 December 2027.
- Subsidiary loans and investments. Recoverability of ₹518.91 crore of loans and ₹86.49 crore of investments as at 31 March 2026.
- Occupancy Certificates. Receipt of OCs for projects where revenue recognition has been deferred, no scheduled date provided as of the FY2025-26 reporting period.
Bottom line: This is a disclosed record with an unbroken chain of unqualified audit opinions, a clean auditor rotation, and zero promoter pledge. The character of the risk is structural: revenue recognition depends on regulatory certificates outside the company’s control, a large pool of subsidiary loans carries no repayment terms and no auditor assurance on recovery, and the group is navigating a control shift and restructuring that concentrates losses in subsidiaries. Watch the GST resolutions, the Occupancy Certificate pipeline, and whether the subsidiary loans begin to show a repayment schedule.
