Kaveri Seed's record shows seven straight years of clean audit opinions, but the cash story underneath has shifted: FY2026 operating cash flow turned negative even as the company kept returning large sums to shareholders. The same auditor has also flagged the same two issues every year without escalating them, and all five executive director seats sit with two promoter families who are now seeking simultaneous five-year re-appointments.
Key findings
- Seven years of clean opinions, but the same two flags every year since FY2022
Major- M. Bhaskara Rao & Co. issued unqualified opinions on both standalone and consolidated statements for every year from FY2020 through FY2026, with no qualifications or disclaimers in any year. The FY2026 standalone report states the accounting software's audit trail operated throughout the year "EXCEPT the feature was NOT enabled at the database level to log direct data changes," the same exception appearing in FY2025 and FY2024. The consolidated report for FY2026 discloses a Material Uncertainty Related to Going Concern for one subsidiary with negative net worth of ₹4.91 crore and current liabilities exceeding total assets by ₹5.25 crore, with the opinion not modified. The same subsidiary's uncertainty appears in consolidated reports for FY2025 through FY2020, with the opinion never modified. - All five executive director seats are held by two promoter families, with four seeking simultaneous five-year re-appointments
Major- The Board has 12 directors, of whom five are executive directors, G.V. Bhaskar Rao (Chairman & MD), G. Vanaja Devi, C. Vamsheedhar, C. Mithun Chand, and G. Pawan, all promoters or promoter-group members. The 39th AGM notice dated 13 August 2026 seeks simultaneous re-appointment of four of them for five years from 15 November 2026, each carrying a 20% annual increment and commission up to 1% of consolidated net profits. Public institutions voted against promoter-director re-appointments at 50.39% at the 37th AGM held 30 September 2024 and 61.37% at the 36th AGM held 29 September 2023. - A chronically insolvent subsidiary with nil turnover for six years sits inside a small, stable group
Major- Genome Agritech Private Limited reported accumulated losses of ₹5.33 crore, negative net worth of ₹4.91 crore, current liabilities exceeding current assets by ₹5.25 crore, and nil turnover for both FY2025-26 and FY2024-25. The same figures, negative net worth around ₹4.9 crore and nil turnover, repeat for every year back to FY2020-21. The consolidated auditor's report included a Material Uncertainty Related to Going Concern paragraph for this subsidiary every year from FY2020-21 through FY2025-26, with the opinion never modified. - Customer advances are large but disclosed, with revenue recognition hinging on management estimates
Minor- Standalone contract liabilities from customer advances rose from 227 crore as at 31 March 2020 to 421.86 crore as at 31 March 2025, before falling to 321.42 crore as at 31 March 2026. The auditor's Key Audit Matter for FY2024-25 identifies "management estimate of provision for sales return and discount & schemes" as the focus, with testing of internal controls and Ind AS 115 compliance. Standalone contract liabilities increased 33% from ₹274.05 crore as at 31 March 2023 to ₹365.7 crore as at 31 March 2024. - Income tax dispute partly resolved; AY 2023-24 order under appeal
Minor- The Income Tax appellate authority set aside demands of ₹73.25 crore for AY 2020-21, ₹56.21 crore for AY 2022-23, and ₹69.59 crore for AY 2023-24, all primarily on disallowance of agricultural income exemption. The AY 2023-24 order was issued on 8 April 2026, but the Income Tax Department has filed an appeal against it, with a hearing notice dated 6 August 2026. A demand of ₹69,58,75,410 for AY 2024-25 remains outstanding, with the company intending to appeal. Block-period assessments for FY 2011-12 to FY 2017-18 remain pending. - The only material related-party transaction is a shareholder-approved seed-sale with a 70%-owned subsidiary
Minor- Shareholder approval was obtained for material related-party transactions with Aditya Agritech Private Limited for sale of seeds up to ₹200.00 Crores per financial year for three years from FY2024-25 to FY2026-27. The FY2024-25 AGM resolution received 4,14,23,018 votes in favour (100.00%) and 684 votes against. The company reported no loans or advances in the nature of loans granted to promoters, directors, KMPs or related parties in FY2025-26 standalone or consolidated financial statements. - Minimal borrowings and no supplier-finance arrangements across seven years of filings
Clean- The company states in its FY2025-26 standalone and consolidated financial statements that it "does not have any supplier finance arrangements". The FY2024-25 CARO report states the company "has not defaulted in repayment of loans/borrowings or payment of interest thereon to lenders". The company disclosed under SEBI Circular dated October 19, 2023 that outstanding qualified borrowings at start and end of FY2025-26 were NIL and the company is not a Large Corporate.
What to watch
- Block-period tax assessments. Outcome of pending assessment proceedings for FY 2011-12 to FY 2017-18 before the Income Tax Department, as disclosed in the FY2025-26 Annual Report.
- Income Tax Department appeal. Outcome of the Department's appeal (ITA2423/Hyd/2026) before ITAT against the CIT(A) order for AY 2023-24, as disclosed on 6 August 2026.
- FY2026-27 cash flow and payouts. Whether operating cash flow recovers from the negative ₹6.47 crore reported in FY2026 and whether the company undertakes any further buyback or dividend payout given the FY2026 cash flow position.
Bottom line: This is a disclosed and audited record with minimal debt and a largely resolved tax dispute. The risk sits in two places: cash generation no longer supports the payout pattern, and the same audit flags, a database-level audit-trail gap and a subsidiary's going-concern uncertainty, have repeated for years without escalation. Watch the 30 September 2026 AGM vote on the four re-appointments, and the FY2026-27 annual report for whether cash flow recovers.
