Vedant Fashions Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Vedant Fashions' record is clean on its face: unqualified audit opinions every year, zero borrowings, and a fully resolved tax dispute. But the auditor has flagged the same audit-trail limitation for three straight years, cash conversion has weakened while the company returned over ₹1,000 crore to shareholders, and a ₹166.29 crore goodwill-and-brand balance has sat unchanged for five years.

Key findings

  1. Revenue recognition is a standing audit focus, with receivables and refund liabilities outpacing sales Major - Revenue recognition has been a Key Audit Matter in four of the last five years, with no adverse finding stated in any year. Receivable days rose from 139 in FY22 to 166 in the latest year, while refund liabilities for expected returns grew from ₹83.72 crore to ₹113.95 crore over the same period. The company reported no disputed or unbilled receivables in any year, and management attributed a Q1 FY27 gap between 7.2% primary and 3.4% retail sales growth to auto-replenishment timing.
  2. Cash conversion has weakened, while over ₹1,000 crore went to shareholders Major - Cumulative operating cash flow of ₹2,087 crore covered only 0.69x of cumulative EBITDA of ₹3,029 crore over eight years, with CFO/PAT falling from 1.90x in FY21 to 1.17x in FY24. The company spent ₹331.33 crore on a FY2021-22 buyback and ₹108.44 crore on a FY2020-21 buyback, and has recommended or paid dividends of ₹188.3 crore for FY2025-26, ₹194.36 crore for FY2024-25, and ₹206.44 crore for FY2023-24. Management's stated trailing 12-month cash conversion of "approx. 101%" was not reconciled to reported PAT.
  3. ₹166.29 crore of goodwill and brand carried unchanged for five years, with no impairment Major - Goodwill of ₹15.71 crore and brand of ₹150.58 crore, both indefinite-life and acquired through the Mebaz acquisition, were carried at the same amounts from FY2021-22 through FY2025-26, with no impairment considered necessary in any year. The FY2025-26 impairment test used an EBITDA multiplier of 27.1x, and growth assumptions shifted across years, from 10% then 7% in FY2021-22 to 8%, 10%, and 12% in FY2024-25. The auditor flagged this as a Key Audit Matter in four years, and the soft-assets/revenue ratio rose from 1.54 to 1.80.
  4. Clean opinions every year, but the same audit-trail limitation for three years Major - B S R & Co. LLP issued an unqualified opinion for FY ended 31 March 2026, dated 08 May 2026. For FY2026, the auditor stated the audit trail operated but "the logs do not capture what change is made"; for FY2025, it could not comment on tampering due to absence of evidence; for FY2024, the feature was not enabled for "few modules" from 1 April to 24 September 2023. All fraud, wilful-defaulter, fund-diversion and evergreening checks came back clean, and internal financial controls received an unqualified opinion.
  5. "Debt-free" claim sits alongside a sales-tax deferment and rising lease liabilities Minor - Borrowings were ₹0.00 crore, and the company states its exposure to interest rate risk from financial liabilities is negligible. But the FY2022-23 statements disclose an interest-free "Deferred Payment Liability" under the M.P. Sales Tax Deferment Scheme, and the FY2023-24 MD&A attributed a debt-equity ratio increase to rising lease liabilities. The effective interest rate on lease liabilities rose from 8.40% in FY2022 to 9.27% in FY2026.
  6. Subsidiary structure collapsed to zero, with both exits to related parties or merger Minor - As at 31 March 2026, the company has no subsidiary, associate or joint venture. In FY2021-22, it sold Mohey Fashions to Directors Ravi Modi and Shilpi Modi for ₹0.1 crore, equal to book value, after the subsidiary had no operations since incorporation. Its other subsidiary, Manyavar Creations, was amalgamated effective 30 November 2024 under an NCLT-sanctioned order.
  7. Promoter control is absolute, with public institutions dissenting on key votes Minor - Promoter and promoter group shareholding stood at 74.94%, with zero pledge. Ravi Modi and Shilpi Modi, who are spouses, hold the top two executive posts, and the Board recommended their re-appointment for 5-year terms effective 28 August 2026, subject to shareholder approval. At the 5 September 2025 AGM, public institutional shareholders voted 36.54% against Ravi Modi's re-appointment, and at the 9 September 2022 AGM they voted 24.90% and 26.14% against two ESOP resolutions.
  8. Accounting-policy record dominated by a common-control amalgamation and small recurring credits Minor - The amalgamation of Manyavar Creations, effective 1 April 2024, restated FY2024 revenue from 1,364.89 crore to 1,367.53 crore and adjusted ₹16 crore against retained earnings. The company also recognised ₹0.22 crore in FY2025-26 from a joint development agreement and applied the COVID-19 rent concession practical expedient, recognising ₹32.53 crore in FY2020-21 and ₹13.75 crore in FY2021-22.
  9. ₹23.26 crore tax demand from a 2018 search fully resolved in the company's favour Clean - The income tax contingent liability from the November 2018 search, which aggregated ₹23.26 crore including interest, was reduced to ₹18.3 crore as at March 31, 2025, and final effect orders in the company's favour for all remaining assessment years left no contingent liability as at March 31, 2026. GST demands against the company and Manyavar Creations were dropped with nil demand.

What to watch

Bottom line: This is an audited, dividend-paying record with clean fraud and diversion checks and a fully resolved tax dispute. The risk is concentrated in the quality of reported earnings: a standing audit focus on revenue recognition, weakening cash conversion against large shareholder payouts, and an unchanged goodwill balance under shifting assumptions. Watch the shareholder votes at the AGM and whether the FY2026-27 impairment test sustains its growth assumptions.
