Marksans Pharma’s record is clean on its face: seven years of unqualified audit opinions, a cash pile of ₹989.65 crore, and no debt. Three things deserve attention. First, public institutional shareholders have voted against ESOP schemes and director pay resolutions in four successive years, with dissent reaching 99.98% on one occasion, while the promoter family holds board control and draws remuneration from both the listed company and a subsidiary. Second, cumulative operating cash flow over the last decade has covered only 0.58 times cumulative EBITDA, and management’s M&A commentary remains vague despite the large idle cash balance. Third, the group operates through a multi-layered offshore chain with dormant and shell entities and a 60%-owned subsidiary with no disclosed buyout mechanism.
Key findings
- Public institutions repeatedly vote against ESOP and pay resolutions, but promoter control carries them through
Major- At four successive AGMs from 2020 to 2024, 50-86% of public institutional votes were cast against ESOP schemes, and 99.98% voted against a resolution to increase the Managing Director’s remuneration beyond 5% of net profits at the 29 August 2022 AGM. Mr. Mark Saldanha holds 43.87% promoter equity and received ₹6.38 crore from the listed company in FY2024-25 plus ₹1.22 crore from wholly owned subsidiary Time-Cap Laboratories Inc. in the same year. The ratio of his remuneration to median employee pay rose from 54 in FY2020-21 to 276 in FY2024-25. - Operating cash flow has recovered sharply, but a decade of weak cumulative conversion and a large idle cash pile sit alongside vague M&A claims
Minor- FY26 operating cash flow was ₹458 crore, covering profit 1.09 times, a sharp recovery from 0.54 times in FY25. Yet cumulative CFO of ₹1,735 crore over the ten years to FY26 covered only 0.58 times cumulative EBITDA of ₹2,977 crore. Cash and equivalents rose to ₹989.65 crore at 31 March 2026, while management stated in the Q4 FY26 call that it is in “active dialogue, 2 targets” and doing due diligence on one, without providing details on size, geography, or funding. - Audit opinions are unqualified, but the accounting software’s edit log has not been enabled at the database level for three years running
Minor- The statutory auditor issued an unqualified opinion on standalone and consolidated financial statements for every year from FY2020 through FY2026. For FY2024, FY2025, and FY2026, the auditor reported that the accounting software’s audit trail feature was not enabled at the database level to log direct data changes. The internal financial controls opinion was unqualified in every year. - The group operates through a multi-layered offshore chain with dormant and shell entities and a 60%-owned subsidiary with no disclosed buyout mechanism
Minor- Marksans Pharma GmbH (Germany) has been dormant since incorporation in FY2014-15. Two wholly owned subsidiaries incorporated in January 2026, Marksans (Canada) Inc. and Marksans Pharma (Europe) Limited, had nil capital contribution and had yet to commence operations as at 31 March 2026. Nova Pharmaceuticals Australasia Pty Ltd is only 60% owned, and management confirmed in the Q4 FY26 call that there is no call option to acquire the remaining 40% stake. - The mid-2022 auditor resignation was explained as preoccupation, and the successor has served without reported issues through FY26
Clean- Bhuta Shah & Co. LLP resigned effective 31 May 2022, citing “preoccupation of other assignments and voluminous audit related works involved”. The Board appointed MSKA & Associates on 30 May 2022, effective 31 May 2022, and shareholders approved the appointment with 100% of votes polled in favour for filling the casual vacancy at the 29 August 2022 AGM. MSKA & Associates has served continuously through FY2025-26, signing audit reports dated 26 May 2026.
What to watch
- ABCnow GmbH acquisition. Completion expected by 31 July 2026, as announced on 8 July 2026.
- Cash deployment. Utilisation of the ₹989.65 crore cash balance as of 31 March 2026, given management’s claim of active due diligence on two M&A targets in the Q4 FY26 call.
- Revenue roadmap. Progress on the stated plan to double revenue in 3-5 years, with current capacity utilisation at \~50-55% as disclosed in the Q4 FY26 call.
- Saldanha re-appointment. Re-appointment of Mrs. Sandra Saldanha as Whole-time Director for three years from 25 September 2026, proposed as a special resolution at the ensuing AGM.
- Audit-trail exception. The edit-log deficiency at the database level has been reported for three consecutive years; the FY2027 annual report will show whether it is remedied.
Bottom line: This is a disclosed and audited record with a clean audit trail in the opinions, a debt-free balance sheet, and a cash pile of ₹989.65 crore. The risk sits in two places: a governance pattern where promoter-family control routinely overrides public institutional dissent on pay and equity grants, and an opaque capital-allocation story in which a decade of weak cumulative cash conversion meets vague M&A promises. Read the cash deployment and the related-party receivables with that in mind, and watch whether the audit-trail exception is finally closed.
