MAS Financial Services’ record shows a lending franchise that has grown its loan book and reported profits steadily, backed by a clean audit trail since FY2022 and a simple two-subsidiary structure. The numbers that matter sit on the cash-flow statement: operating cash flows have been deeply negative for five straight years, the company funds dividends from fresh borrowings and equity raises, and a fifth of its assets sit off the balance sheet through co-lending and direct assignment.
Key findings
- Revenue quality is shaped by a regulator-enforced upfront gain-recognition policy and a rising stock of written-off loans still under enforcement
Major- The Group changed its accounting policy in Q4 FY2023 to recognise gain on assignment of loans upfront in profit or loss, following a directive from the Reserve Bank of India; previously the gain was amortised over the residual tenure. The contractual amount outstanding on loans written off but still subject to enforcement activity rose from ₹32.17 crore at 31 March 2022 to ₹54.61 crore at 31 March 2025. Net Stage 3 assets as a percentage of AUM increased from 1.62% at 31 March 2025 to 1.70% at 31 March 2026. - A past qualified opinion was resolved under RBI directive, while a static management ECL overlay of ₹17.60 crore has persisted for two years
Minor- For FY2021, the auditor B S R & Co. LLP issued a Qualified Opinion because the company amortised gain on assignment of loans over the residual tenure instead of booking it upfront, a departure from Ind AS 109. During Q4 FY2023, the RBI directed the company to book assignment gains upfront; the company reversed its policy retrospectively from 1 April 2021, increasing consolidated other equity by ₹32.48 crore. The company holds a management and macro-economic overlay on ECL of ₹17.60 crore as at 31 March 2026, unchanged from ₹17.60 crore as at 31 March 2025. - Audit opinions have been unqualified since FY2022, and the audit trail database gap in FY2024-25 was remediated in FY2026
Minor- The standalone audit opinions for FY2022 through FY2026 are all unqualified. The auditor’s report for FY2024 and FY2025 stated that the audit trail feature was not enabled at the database level, though no instance of tampering was found where the feature was enabled. The FY2026 auditor’s report states the audit trail feature operated throughout the year for all relevant transactions, with no instance of tampering. - Promoter family consolidates control through succession appointments and share transmissions, while public institutional shareholders register recurring dissent
Minor- Promoter and Promoter Group held 66.65% of the company as of the latest FY, with zero pledge across all periods. Mr. Dhvanil Gandhi, son of the Chairman & MD, was appointed as Whole-Time Director for five years effective 14 August 2024. The Estate of Mukesh Chimanlal Gandhi acquired 4,83,80,139 shares (26.66% of voting capital) by transmission during July-August 2025. At the AGM on 11 September 2024, the resolution to appoint Mr. Dhvanil Gandhi received 5.73% of votes against, with Public Institutions casting 23.61% of their votes against. - Auditor changes follow a routine three-year rotation cycle driven by RBI tenure limits, with no resignations raising concerns
Clean- M/s. B S R & Co. LLP resigned as statutory auditors effective 25 August 2021, citing completion of three consecutive years and ineligibility under RBI circular dated 27 April 2021; the outgoing auditor confirmed no other material reason for resignation. M/s. Sorab S. Engineer & Co. were appointed for three years from the conclusion of the 29th AGM on 11 September 2024, replacing Mukesh M. Shah & Co. whose three-year tenure expired. Total statutory audit fees were ₹0.60 crore in FY2025-26, down from ₹62.32 lakh in FY2020-21.
What to watch
- Asset quality trend. Evolution of Net Stage 3 percentage beyond 1.70% reported as at 31 March 2026.
- Management ECL overlay. Monitor whether the ₹17.60 crore management ECL overlay, unchanged for two years as at 31 March 2026, is released through the P&L in future periods.
Bottom line: This is a disclosed and audited lending franchise with a clean audit record since FY2022, a simple structure, and zero promoter pledge. The risk is structural: reported profits have not converted to operating cash in five years, dividends are funded by fresh capital and debt, and a material slice of the loan book lives off the balance sheet. Watch the cash-flow line and the asset-quality indicators together, they will show whether growth is self-financing or simply levered.
