What to watch
- GST penalty orders. The four GST penalty orders totalling ₹10.24 crore issued in March-April 2026 await resolution; the Madras High Court granted an interim stay on July 10, 2026 on the ₹8.53 crore Chennai order.
- SEBI show-cause notice. The SEBI show-cause notice dated 18 August 2020 remained pending as of the last disclosure in the FY2021-22 annual report, with no subsequent update through the FY2025-26 annual report signed 21 May 2026.
- RBI compounding application. The RBI compounding application dated 16 March 2023 remained pending as of the last disclosure in the FY2022-23 annual report, with no subsequent update through the FY2025-26 annual report signed 21 May 2026.
- “Till You Marry” deferred revenue. The one-year packages sold from March 2025 begin to expire from March 2026; the deferred revenue balance and its impact on reported revenue will become visible in FY2026-27.
- Marriage Services model change. The financial impact of the segment’s move from subscription to service-based, including any write-offs or revenue restatements, is yet to be disclosed as of the Q4 FY26 earnings call held 21 May 2026.
Bottom line: This is a cash-generating business with a clean standalone audit opinion and a ₹307.85 crore cash and investments balance. The risk sits in three places: the pile-up of tax demands that outstrip provisions, the widening gap between billings and reported revenue after a product launch whose deferred revenue remains unquantified, and the consolidated auditor’s recurring flag on CARO reports at unnamed subsidiaries. Watch the GST penalty resolutions, the “Till You Marry” deferred revenue unwind, and whether the audit-trail gaps close in FY27.
