Meesho's FY26 standalone profit of ₹1,429 crore is real only on paper: it is driven by a ₹26,479 crore demerger gain booked while the demerged businesses remain under group control, masking an entity that loses money on operations. Operating cash flow swung to a ₹3,875 crore outflow, and the clean audit opinions carry recurring exceptions on audit-trail and server-backup infrastructure.
Key findings
- FY26 profit is a demerger gain, not operations
Critical- Meesho booked a ₹26,479.02 crore gain on demerger as an exceptional item in FY26, transferring net assets of just ₹56.04 crore (Grocery) and ₹58.68 crore (Marketplace) to wholly-owned subsidiaries in exchange for their shares. Standalone profit before tax swung from a 1,396.55 crore loss in FY25 to 27,479.58 crore in FY26, driven by that gain. The company states the FY26 standalone statements are not comparable with FY2024-25 due to the demerger. - Operating cash flow swung to a ₹3,875 crore outflow
Major- Consolidated operating cash flow was ₹-3,875 crore in FY26 versus ₹539 crore in FY25, a swing of ₹4,414 crore, while consolidated PAT improved from ₹-3,942 crore to ₹-1,358 crore. Consolidated PAT of ₹-1,201 crore versus standalone PAT of ₹1,429 crore implies subsidiary losses of ₹2,630 crore, or 184% of standalone profit. LTM Free Cash Flow was -₹633 crore, or -1.5% of Marketplace NMV, versus +₹591 crore in FY25. - ₹2,086.1 crore in income-tax contingent liabilities
Major- The Group disclosed contingent liabilities of ₹2,086.1 crore as at March 31, 2026 for income-tax demands, which the auditor assessed as a Key Audit Matter. The Income Tax Department raised a demand aggregating ₹1,499.74 crore for AY 2023-24 on March 6, 2026, which the company disputes. A separate ₹572.07 crore demand for AY 2022-23 is before Karnataka High Court with a stay order issued April 25, 2025. - Clean opinions with recurring audit-trail and server exceptions
Major- S.R. Batliboi & Associates LLP issued unmodified opinions on both standalone and consolidated FY26 statements with no fraud reported. However, the auditor raised a Section 143(3)(b) exception: the Holding Company and Indian subsidiaries do not have servers physically located in India for daily backup of books of account in two software applications. A Rule 11(g) exception noted one application lacked audit-trail feature for direct data changes with certain access rights, with no tampering found where enabled. - Economic obligations extend beyond reported borrowings
Major- Meesho's subsidiary MPPL extends a first-loss default guarantee to financing partners on seller/consumer loans, measured by expected credit loss on exposure balances. Lien on deposits against overdraft facilities stood at ₹339 crore consolidated and ₹150 crore standalone as at March 31, 2026. The Board approved on June 17, 2025 an increase in borrowing limits up to ₹2,000 crore, approved by shareholders on June 25, 2025. - Revenue recognition shifted twice in 15 months
Major- Meesho changed its last-mile logistics model twice within FY2025-26: until March 15, 2025 the Group acted as principal; a pilot agent model ran from March 15, 2025; the pilot was discontinued effective September 23, 2025, reverting to principal due to "operational and comprehension challenges faced by sellers". Effective June 01, 2025, Meesho generates revenue solely from logistics services through Valmo to its wholly-owned subsidiary on a cost-plus markup basis. - Large intra-group capital infusions dominate related-party activity
Minor- Meesho invested ₹2,890 crore in MTPL via a rights issue of 1,310,657,596 equity shares at ₹22.05 per share during FY2025-26. It invested ₹20 crore in MPPL via rights issue, and a further ₹100 crore approved by Board on May 6, 2026, bringing its holding to 99.99%. No transactions with related parties fell under Section 188(1) of the Act. - Subsidiary structure in active flux
Minor- The erstwhile holding company Meesho Inc. merged into Meesho Ltd during FY2025-26, bringing four entities as subsidiaries with comparatives restated. Two subsidiaries were liquidated, PT Fashnear Technology Indonesia on October 6, 2025 and Popshop Commerce Private Limited on May 30, 2025. Valmo Transportation Private Limited was incorporated January 28, 2026 to house mid-mile and last-mile logistics, with first-mile and sort-center operations remaining in Meesho Limited. - No regulator has imposed penalties since listing
Clean- The Board's Report states no penalties or strictures were imposed by Stock Exchanges, SEBI or any statutory authority from the date of listing (December 10, 2025) to March 31, 2026. A certificate dated July 23, 2026 confirmed no directors were debarred or disqualified by SEBI, MCA or any statutory authority. In the Q1 FY27 earnings call, management stated no regulatory or tax authority has asked any question on the GST dispute raised by a proxy advisory.
What to watch
- GSTAT appeal. Appeal against the CGST Commissioner (Appeals) order dated April 24, 2026 upholding the ₹14.29 crore TCS demand, outcome pending.
- NFAC appeal. Appeal before NFAC, Delhi on the AY 2023-24 income tax demand of ₹1,499.74 crore, outcome pending.
- Karnataka High Court. Writ petition on the AY 2022-23 income tax demand of ₹572.07 crore, with stay order issued April 25, 2025, outcome pending.
- Audit infrastructure remediation. The Section 143(3)(b) and Rule 11(g) exceptions on server backup locations and audit-trail enablement remain open as at the FY2025-26 annual report dated May 06, 2026.
- FY2027 interim results. Quarter ending September 30, 2026 will show whether operating cash flow remains negative while the demerger gain drops out of the P&L.
Bottom line: This is a disclosed and audited record with a clean regulatory history since listing. The risk sits in the gap between reported profit and operating reality: a ₹26,479 crore demerger gain masks an operating loss-making entity, and operating cash flow has swung to a ₹3,875 crore outflow. Read the profit line with that in mind, and watch whether the infrastructure exceptions get remediated and the tax appeals resolve.
