Minda Corporation Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Minda Corporation's record shows consistent unqualified audit opinions. Three things deserve attention: the audit trail feature in the accounting software was not enabled at the database level and for certain privileged access rights in each of FY2023-24, FY2024-25, and FY2025-26, the group operates a web of 12 zero-revenue subsidiaries alongside a ₹1,372 crore associate acquisition that is not consolidated, and a ₹67.1 crore income-tax demand is under appeal with no provision made.

Key findings

  1. The group operates a web of 12 zero-revenue subsidiaries and a ₹1,372 crore associate that is not consolidated Major - As at 31 March 2025, 12 of the group's 17 subsidiaries reported zero revenue, and Minda Kosei Aluminum Wheel had share capital of ₹1,000.00 million and a loss of ₹1,180.42 million. A German subsidiary, Minda KTSN, filed for insolvency after the Board withdrew support in FY2020, triggering a total exceptional charge of ₹366.6 crore, and an impairment provision of ₹262.2 crore made in earlier years was written off in FY2022-23. In January 2025, the company acquired a 49% stake in Flash Electronics for ₹1,372 crore; it is classified as an associate and is not consolidated.
  2. Large exceptional items and a subsidiary write-off routed material losses through court-sanctioned processes Major - The company wrote off its entire ₹262.2 crore exposure in the German subsidiary Minda KTSN in FY2022-23 while reversing ₹48.7 crore of income-tax provision in the same year, and the auditor flagged the tax-allowance assessment as a Key Audit Matter. The FY2019-20 KTSN withdrawal triggered an exceptional charge of ₹366.6 crore, and the Group reclassified ₹41.7 crore of accumulated foreign-currency translation reserve from OCI to exceptional items upon deconsolidation. Freehold land, buildings, and leasehold land transferred via an NCLT amalgamation approved on 19 July 2019 remained pending registration in the Company's name as of 31 March 2021.
  3. A ₹67.1 crore income-tax demand is under appeal with no provision made, while a legacy damage claim was settled and indemnified by a promoter entity Minor - The Company received an Assessment Order for AY 2023-24 with a total demand of ₹67.1 crore, including interest of ₹17.8 crore, and has filed an appeal with no provision made. A damage claim based on a Letter of Comfort was settled via a Consent Award requiring payment of ₹49.6 crore; the Company accounted for the payable and a corresponding receivable, and promoter entity Minda Capital returned the indemnified amount. Subsidiary GST demands total ₹26.8 crore across two orders, both under appeal.
  4. Audit opinions are consistently unqualified, but the audit trail was not fully enabled in FY2023-24 through FY2025-26 Minor - The statutory auditor issued an unqualified opinion on standalone and consolidated financial statements for every year from FY2019-20 through FY2025-26. However, the audit trail feature in the accounting software was not enabled at the database level and for certain privileged access rights in each of FY2023-24, FY2024-25, and FY2025-26. Quarterly working-capital returns filed with banks did not agree with books of account in FY2021-22 and FY2022-23.
  5. Promoter family control is entrenched through multi-generational executive roles and a former CFO appointed as independent director Minor - Mr. Ashok Minda (Chairman & Group CEO) and his son Mr. Aakash Minda (Executive Director) both hold executive board positions, with Mr. Ashok Minda's total annualised remuneration rising from ₹335.01 Lacs in FY2019-20 to ₹1,221.59 Lacs in FY2024-25. Mr. Laxman Ramnarayan, who served as Executive Director & Group CFO from September 2019 to December 2020, was appointed as Non-Executive Independent Director effective May 22, 2024. The special resolution to grant ESOP 2025 options to employees of Group Companies received 17.01% votes against overall, with Public-Institutions voting 60.20% against.
  6. Goodwill impairment assumptions have been held static for four consecutive years with no impairment recognised Minor - For the annual goodwill impairment test of the remaining CGUs, the terminal growth rate assumption has been held at 4% to 5% in each of FY2023, FY2024, FY2025, and FY2026. The discount rate was 14% in FY2024, FY2025, and FY2026, while in FY2023 it ranged from 13% to 15%. No impairment was recognised in any of those years.

What to watch

Bottom line: This is a disclosed and audited record with consistent unqualified opinions and a large capital raise directed at debt reduction. The risk sits in three places: the net-debt picture, which is softer than the headline number suggests once lease liabilities and pledged deposits are counted; the scale of authorised related-party trade, which runs into thousands of crores annually with limits set at a majority of a subsidiary's own turnover; and a complex subsidiary structure where past write-offs have been material and a large recent acquisition sits outside consolidation. Watch the preferential issue utilisation, the income-tax appeal, and the terms on which Minda VAST enters the consolidated books.
