M K Exim (India) Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

M K Exim (India) Ltd's record shows no Key Audit Matters ever reported. The concerns sit in governance and cash quality: shareholder-approved related-party purchase caps that exceed the company's own turnover, a decade where operating cash covered only 59% of profit, and a mid-tenure resignation of both the statutory and branch auditors in FY2023-24.

Key findings

  1. Related-party purchase caps of ₹250 crore exceed the company's own turnover Major - The FY2025-26 AGM notice seeks approval for material related-party purchases with four promoter-linked parties totalling ₹250 crore, valid until the 35th AGM in 2027. The largest cap, ₹100 crore for Manish Overseas, equals 102.7% of M K Exim's own annual consolidated turnover. Manish Overseas is the sole proprietorship of Whole-time Director Murli Wadhumal Dialani, while Laaj International and Lewanna belong to Managing Director Manish Murlidhar Dialani. The Board's Report for FY2025-26 states "No material related party transactions with potential conflict of interest" despite this notice.
  2. Operating cash has covered only 59% of profit over a decade Major - Cumulative operating cash flow of ₹44 crore over 10 years equals 0.59x cumulative profit after tax less other income of ₹75 crore. FY2024-25 CFO was negative ₹1.57 crore against PAT of ₹17.99 crore, and FY2025-26 CFO of ₹7.24 crore covered only 0.36x PAT of ₹20.02 crore. Receivable days rose 53% from 56.67 in FY24 to 86.94 in FY26, while revenue grew only 5% from ₹92.38 crore to ₹97.33 crore.
  3. A tonnage-tax regime eliminates deferred tax, while the company moved ₹57 crore to reserves and restated comparatives Major - The company pays tax on deemed tonnage income and states "there is no impact on deferred tax" as a result. It transferred ₹16 crore, ₹25 crore, and ₹16 crore from P&L surplus to General Reserve in FY2023-24, FY2024-25, and FY2025-26 respectively. On 8 Jun 2026, it issued a corrigendum correcting Deferred Tax Liability from (261.05) to 24.65, described as a typographical error.
  4. Statutory and branch auditors both resigned mid-tenure in FY2023-24 Major - Statutory auditor Rishabh Agrawal & Associates resigned effective 01.02.2024 citing "serious health issues of the Acting partner". Branch auditor M S Joshi & Company resigned effective 09.11.2023 citing personal reasons. Both were replaced, and the new statutory auditor, Ummed Jain & Co., was ratified for five years until the 37th AGM in 2029.
  5. Three related family members serve as executive directors on a six-member board Minor - Manish Murlidhar Dialani, Murli Wadhumal Dialani, and Lajwanti Murlidhar Dialani are related and all serve as executive directors as of 31 March 2026. Manish Dialani's remuneration was proposed at ₹60 lakhs per annum upon re-appointment in September 2024, up from ₹46 lakhs in FY2023-24. Promoter shareholding stood at 43.97%, with zero pledge.
  6. The only non-standalone entity is an associate whose financials swing from profit to loss Minor - Kolba Farm Fab ceased to be a subsidiary in December 2020 when the parent's stake fell from 70.71% to 48.98% after not subscribing to a rights issue. It reported a net loss of ₹40.29 lacs for FY2024-25, after profits of ₹22.10 lacs and ₹56.26 lacs in the prior two years. The parent's carrying value rose from 1.12 crore to 1.23 crore in FY2023-24.

What to watch

Bottom line: This is an audited record where the character of the risk is governance and cash conversion: related-party purchases are approved at a scale larger than the company's own revenue, and a decade of profit has produced only 59% of that profit in operating cash. Watch the AGM votes and the expiry of the RPT caps, and read the receivables line against the cash flow statement.
