Modi Rubber Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Modi Rubber's record carries one critical weight and a cluster of major flags. The BIFR rehabilitation scheme sanctioned in 2008 has never been implemented, the Modinagar factory sits sealed under an Official Liquidator, and reported profits have been positive only because other income dwarfs operating losses. The audit trail is not clean either: a qualified opinion in FY2020-21, repeated CARO exceptions, and an auditor who resigned from both wholly owned subsidiaries in 2021.

Key findings

  1. BIFR scheme unimplemented for 18 years, Modinagar factory sealed, ₹83.36 crore contingent liability unresolved Critical - The BIFR rehabilitation scheme sanctioned on 8.4.2008 remains unimplemented as of FY2025-26, with industrial rehabilitation of the Modinagar Tyre Factory not achieved. The plant remains under seal of the Official Liquidator appointed by the Allahabad High Court in the Modi Export Processors Ltd winding-up proceedings, and the company's Special Appeal No.1917 of 2008 for re-possession remains pending. A contingent liability of ₹8,335.97 lacs may arise pursuant to the Share Purchase Agreement dated July 15, 2011 with Continental India Limited.
  2. Reported profits are an other-income illusion, operating cash flow negative for five straight years Major - Standalone operating cash flow was negative in each of the last five years, from negative ₹23.44 crore in FY26 back to negative ₹24.64 crore in FY22, while PAT stayed positive in every one of those years. Other income of ₹34.69 crore in FY26 was 1,221.6% of PBT of ₹3 crore. Receivable days stood at 262 days in FY26, and the Board recommended no dividend for FY2024-25 due to "no adequate profit".
  3. Clean opinions since FY2021-22, but a prior qualification and repeated CARO flags Major - Suresh Surana & Associates LLP issued a qualified opinion on consolidated financial statements for FY2020-21 relating to non-provision for impairment of investments amounting to ₹2,510.82 lacs. CARO reports have repeatedly flagged no-access inventory, title-deed exceptions, and irregular loan repayments to group companies across multiple years. The company incurred cash losses of ₹16.05 crore during FY2025-26.
  4. Repeatedly declined to impair a ₹2,510.82 lacs investment despite eroded net worth Major - In FY2020-21, the consolidated auditor qualified its opinion because subsidiary Spin Investment Limited made no provision for impairment in its ₹2,510.82 lacs investment in Uniglobe Mod Travels Private Limited, whose net worth had eroded. A provision of ₹727.70 lacs was created only in FY2021-22, with management stating no further impairment was needed given the long-term nature. Meanwhile, exposure in associate Vinuara Beverages Private Limited was fully provided for by FY2022-23.
  5. Subsidiaries repeatedly extended loans to group entities with eroded net worth Major - Subsidiary Spin Investment Limited held loans of ₹56.17 lacs to Uniglobe Travel (South Asia) Private Limited as of FY2025-26, whose net worth has been substantially eroded, with no impairment made. The same exposure stood at ₹53.41 lacs in FY2024-25, ₹47.90 lacs in FY2023-24, and ₹45.14 lacs in FY2021-22, with no provision in any year. The company settled ₹1,856.04 lacs with consortium banks on behalf of personal guarantor Mr. V. K. Modi in the ModiStone Ltd matter.
  6. Consolidated group carries debt-like obligations absent from the standalone balance sheet Major - The consolidated group's step-down subsidiary Uniglobe Mod Travels Private Ltd had cash credit of ₹1,628.18 lacs as of March 31, 2026, secured by exclusive charge on its entire current assets. The standalone balance sheet shows only ₹250 lacs of non-current borrowings, while the consolidated balance sheet includes additional subsidiary borrowings of ₹1,628.18 lacs cash credit and ₹17.58 lacs loan. The consolidated statements for FY2024-25 state "Company has minimum dependence on external debts" while simultaneously disclosing ₹1,222.65 lacs of subsidiary cash credit.
  7. A 55.32%-owned subsidiary in liquidation for over two decades, active JV's foreign partner walked away Major - Modistone Ltd, in which Modi Rubber holds 55.32%, has been under liquidation with the Official Liquidator in possession since 25.07.2002 per Bombay High Court order, and is excluded from consolidation. The 50:50 JV partner Alma Beauty Corporation S.L., Spain has discontinued operations and expressed intention to wind up Modi Marco Aldany Private Limited. The secretarial audit of material subsidiary Spin Investment India Ltd states the company is "not generally regular in form filing with the Registrar of the Companies".
  8. Statutory auditor resigned from both wholly owned subsidiaries in September 2021, replaced by the same network firm Major - Suresh Surana & Associates LLP resigned as statutory auditor of both wholly owned subsidiaries on 29 September 2021, citing "Pre-occupation with other unlisted companies". MRL's Board appointed M/s PNAM & Co. LLP as statutory auditor at its 298th meeting on 12 August 2022, replacing Suresh Surana & Associates. Material subsidiary Spin Investment India Limited's statutory auditor is also M/s PNAM & Co. LLP, the same network firm as the parent's auditor.

What to watch

Bottom line: This is a record of an 18-year-old rehabilitation scheme that never happened, a factory under an Official Liquidator's seal, and profits that exist only because other income outweighs operating losses. The character of the risk is structural: unimplemented resolutions, unimpaired group exposures, and obligations that sit outside the standalone balance sheet. Watch the escrow settlement and the Modinagar appeal for any change in the recovery picture.
