Morepen Laboratories Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Morepen Laboratories' record carries a clean audit history, but the FY2025-26 annual report reveals a hive-off to a promoter-linked subsidiary, profits that are not backed by operating cash, and a decade of unresolved regulatory matters. The most serious issue is a medical-devices transfer to a subsidiary where promoter-group entities hold 42.89% as of 26 May 2026.

Key findings

  1. Reported profit is not backed by operating cash flow Major - Cumulative operating cash flow of ₹129 crore covers only 25% of cumulative profit after tax minus other income over nine years through FY2026. CFO was negative ₹91.17 crore in FY2023 and negative ₹60.24 crore in FY2022, against profits of ₹38.68 crore and ₹102 crore respectively. The company raised ₹200 crore via QIP on 5 August 2024, with ₹18.72 crore still unutilised as of 31 March 2026.
  2. Eight-year-old share cancellation unimplemented; GST demand stayed Major - An NCLT order dated 12 March 2018 set aside the Scheme of Arrangement for fixed deposit holders, and an NCLAT order dated 23 July 2019 directed cancellation of 50,62,872 shares held by them, but stock exchanges have denied the company's applications to remove these shares from listed capital, citing non-compliance. A ₹117.94 crore GST refund demand was stayed by the High Court of Himachal Pradesh on 6 January 2026.
  3. Preference shares converted, then new guaranteed debt Major - Preference shares of ₹114.65 crore, including ₹112.65 crore issued to banks/FIs under a 2008 CDR scheme and ₹5 crore of 9.75% CRPS due since March 2004, remained unredeemed until converted into equity at ₹53.72 per share in FY2023. Since then, the company has rebuilt ₹150.45 crore of unsecured term loans as of 31 March 2026, all personally guaranteed by the Chairman.
  4. Profits shaped by accounting-policy choices Major - In FY2025-26 consolidated results, a ₹25.83 crore net gain on loss of control over Dr. Morepen Limited was presented as an exceptional item. A ₹5.7 crore NCLT share-cancellation entry, comprising ₹1.01 crore share capital and ₹4.7 crore reserves reversal, has remained parked in other current assets since the NCLT order dated 12.03.2018. Management stated in consolidated financial statements for each year from FY2020 through FY2026 that no impairment conditions existed and no provision was required.
  5. Decade of regulator challenges, mostly resolved or stayed Major - A SEBI market ban from 24 September 2019 was set aside by SAT on 15 April 2021, but SEBI's appeal was admitted by the Supreme Court on 22 April 2025 and remains pending. Of 27 prosecution matters under the erstwhile Companies Act, 15 were compounded and 10 dismissed, with 9 revision applications filed by the Union of India on 14 January 2026.
  6. Subsidiary structure repeatedly reshaped into promoter-linked entities Major - Morepen's stake in Morepen Medipath Limited fell from 80% to 51% through a rights issue and stake sale, with promoter-group interests holding 42.89% as of 26 May 2026. Dr. Morepen Limited ceased to be a subsidiary on 31 July 2025 when the holding fell to 19.94%. Morepen Devices Limited, incorporated in FY2021-22 to receive a ₹55 crore slump sale, had no operating activities through FY2025-26.
  7. Promoter family control entrenched with rising pay ceilings Minor - Brothers Sushil and Sanjay Suri serve as Chairman & Managing Director and Managing Director, with Sanjay Suri elevated effective 1 July 2026. Sushil Suri's approved remuneration ceiling rose from ₹5.00 crore to ₹10.00 crore per annum, and a further increase to ₹16.50 crore per annum was proposed at the 41st AGM in 2026. His actual pay was ₹2.75 crore in FY2025-26. Two next-generation family members were placed in salaried roles with shareholder-approved ceilings of ₹60,00,000 per annum.

What to watch

Bottom line: This is a disclosed record with a clean audit opinion, but the substance is a company whose reported profits are not backed by operating cash, and whose most significant transaction has been routed to a subsidiary where promoter entities hold 42.89%. The risk is concentrated in related-party value transfer and cash-flow quality; watch the shareholder vote on the hive-off and the Supreme Court's adjudication of the GDR appeal.
