Nectar Lifescience's FY2025-26 audit is unqualified, but it carries three simultaneous Emphasis of Matter paragraphs, including one on going concern, while the company booked a ₹163.37 crore exceptional gain on a ₹1,270 crore slump sale and a ₹149.55 crore deferred tax asset against a ₹2,928.85 crore loss after tax. The record also shows a promoter stake that was not pledged as of the latest period, and a standalone PAT of ₹-293 crore for FY2025-26.

Critical- The slump sale of the Pharma Businesses to Ceph Lifesciences, completed November 10, 2025, for ₹1,270 crore (adjusted to ₹1,253.99 crore), produced an exceptional gain of ₹163.37 crore. The company reported a loss after tax of ₹2,928.85 crore for FY2025-26. The same year, the company recognized a ₹149.55 crore deferred tax asset, up from ₹55.76 crore, and the auditors relied on a legal opinion from an income tax consultant for the current tax provision. Deepak Jindal & Co. issued an unqualified opinion but attached three Emphasis of Matter paragraphs, going concern, the slump sale, and a substantial loss on investments, with no Key Audit Matters reported. - An ₹81 crore buyback completed while losses and cash outflows worsened

Capital work-in-progress has carried the same disclosure, "completion time of projects not ascertainable because projects temporarily suspended", in annual reports from FY2022-23 through FY2025-26. - Disputed statutory demands escalated for five years, alongside an IBC petition, an arbitration award paid, and a customs prosecution
Major- The MAT credit exposure on adverse judgment in disputed matters rose from ₹19.07 crore in FY2020-21 to ₹58.1 crore in FY2024-25, easing to ₹50.82 crore in FY2025-26. An IBC insolvency petition filed in FY2022-23 was withdrawn on payment and disposed of June 1, 2023. In the ABB arbitration, the award of ₹6.26 crore plus interest was paid after challenges failed through the Supreme Court, against a counter-claim of ₹13.22 crore. A customs matter pending before the Chief Judicial Magistrate, Ludhiana, involves a GST complaint against CMD Sanjiv Goyal, with principal of ₹2,35,59,071 and interest of ₹1,97,79,890 already paid. - Repeated exchange fines for late filings and a pending ₹5 crore NGT order mark a decade of regulator actions
Major- NSE and BSE fined the company for late financial results in four instances from FY2017 to FY2025, including fines of ₹1,80,000 plus GST each for Q4 FY2025 results submitted 36 days late, with waiver applications not approved for the FY2025 fine. An NGT order dated November 21, 2024 directed interim environmental compensation of ₹5 crore; the Supreme Court stayed it conditional on deposit of 50%, which was made June 18, 2025. The largest GST demand of ₹89.32 crore was largely overturned on May 27, 2025, with only ₹17.06 lakh confirmed, though ₹6.24 crore was remanded for de-novo adjudication. - Debt position is opaque: borrowings fully repaid, yet notes claim "no financing through borrowings except through leasing"
Major- All fund-based and non-fund-based borrowings were fully repaid during FY2025-26, with no credit facilities outstanding and no credit rating obtained, whereas CARE ratings were obtained in the prior year. The consolidated capital-management note for both FY2025-26 and FY2024-25 states the capital structure is "equity based with no financing through borrowings except through leasing". The FY2021-22 MD&A discloses a Resolution Plan that converted non-fund based working capital limits of ₹160 crore into WCTL/WCDL repayable over five years at 9.35% interest, and an investor presentation dated January 31, 2025 states the company was in Corporate Debt Restructuring with WCTL of ₹61.90 crore. - Product development intangibles were written off to Nil via the business transfer agreement
Major- The company capitalized ₹4.51 crore on product development in FY2025-26 and reported the carrying value of intangible assets as "Nil" as at March 31, 2026, "consequent to derecognition under BTA". This followed seven consecutive years of capitalised development spending, including ₹16.22 crore in FY2024-25, ₹15.32 crore in FY2022-23, and ₹13.27 crore in FY2019-20, all amortised straight-line over seven years.
What to watch
- NGT environmental compensation. Supreme Court stay is operative, with the next hearing date not yet fixed as of the FY2025-26 Annual Report.
- NSE's Supreme Court appeal. NSE's appeal against the SAT order quashing the Regulation 17(1A) fine remains pending as of the FY2025-26 Annual Report.
- GST de-novo adjudication. The ₹6.24 crore demand remanded by the Commissioner (Appeals) on May 27, 2025, awaits fresh adjudication.
- Capsule Business slump sale. Completion is subject to working capital adjustments and approval under Section 118 of the Himachal Pradesh Tenancy and Land Reforms Act, per the BTA dated December 20, 2025.
- CDR exit. The company targeted exiting Corporate Debt Restructuring by June 2026, with WCTL of ₹61.90 crore as of January 31, 2025.
Bottom line: This is an audited record with real cash from a genuine asset sale, but the accounting choices around that sale, a large deferred tax asset, a write-off of development intangibles, and a loan to a shell subsidiary, deserve scrutiny. The risk is that reported figures mask the underlying profitability collapse, and the governance pattern of pledged promoter shares and contested approvals compounds it. Watch the pending legal matters and the CDR exit, and read the next balance sheet for whether the receivable from Ceph Lifesciences is collected.
