Novartis India's record carries seven consecutive clean audit opinions, but the substance around them is less tidy: the promoter exited its entire 70.68% stake in July 2026 with a simultaneous board clear-out, a multi-year stack of tax and drug-pricing disputes remains unresolved, and reported profits have been repeatedly shaped by one-off tax and provision swings.
Key findings
- Promoter exited its entire stake in July 2026, triggering a full board clear-out
Major- Novartis AG sold its entire holding of 1,74,50,680 shares (70.68%) for ₹1,376.89 crore in an off-market sale on 29 July 2026, after which it held nil shares. On the same day, the Board took on record the resignations of the Chairperson, two Whole-Time Directors including the CFO, and three Independent Directors, appointing three new Independent Directors. The outgoing board had just approved a new MD & CEO package with 10,97,550 ESOPs, an additional 1,36,990 ESOPs, and a ₹60 lakh joining bonus. - Tax and drug-pricing disputes remain unresolved
Major- Two NPPA overcharge demands totalling ₹41.62 crore have been contested since 2014 and 2018, with the next hearings set for 24 September 2026 and 20 August 2026. A fresh TDS demand of ₹10.28 crore was received on 27 March 2026, against which the company will file an appeal and stay of demand. As at 31 March 2025, contingent liabilities included ₹2,949.8 million of income-tax demands under appeal and ₹416.2 million of Drug Price Control Order matters. - Seven clean opinions, but the same IT-backup exceptions repeat for three straight years
Major- The statutory auditor issued an unqualified opinion every year from FY2019-20 through FY2025-26. Yet the exception that payroll and vendor master back-ups were not maintained on servers physically located in India appears in FY2023-24, FY2024-25, and FY2025-26. Revenue recognition has been flagged as a fraud-risk Key Audit Matter every year since FY2023-24. - Reported profits are repeatedly shaped by one-off tax and provision swings
Major- Current tax expense included adjustments for earlier years of ₹2.6 crore in FY2025-26, ₹(4.25) crore in FY2024-25, and ₹(19.4) crore in FY2022-23. FY2021-22 profit before tax fell 109.5% mainly due to an exceptional expense of ₹49.64 crore towards employee separation. Inventory write-down reversals of ₹9.3 crore were recognised in FY2022-23. - The related-party structure is complex but disclosed
Minor- Shareholders approved purchases from Novartis Pharma AG up to ₹300 crore per annum for five years from April 2025. Actual purchases were ₹75.42 crore in FY2022-23, ₹80.99 crore in FY2023-24, and ₹82.24 crore in FY2024-25, all under the earlier approval at the 67th AGM held on July 23, 2015. The 2026 promoter sale triggered a name change, and a Trademark Assignment and License Deed was executed on 29 July 2026, which is not a related party transaction. - Auditor rotation completed on schedule with no anomalies
Clean- Deloitte Haskins & Sells LLP served from 2017 to 2022, and B S R & Co. LLP was appointed at the 29 July 2022 AGM with 99.9994% votes in favour. No resignation of statutory auditors occurred in any year from FY2022-23 through FY2025-26. Statutory audit fees were ₹1.10 crore for FY2025-26.
What to watch
- NPPA hearing, Voveran 50 GE. Next tentative hearing before Delhi High Court on 24 September 2026.
- NPPA hearing, Tegrital CR 200. Next hearing before Delhi High Court on 20 August 2026.
- TDS demand appeal. Company's appeal and stay application against the ₹10.28 crore demand received 27 March 2026.
- AGM votes. Shareholders to vote on the MD & CEO appointment, ESOP 2026 scheme, and director remuneration per the FY2025-26 AGM notice.
- Audit exceptions. The FY2026-27 audit will show whether the payroll/vendor master back-up and audit trail exceptions persist for a fourth year.
Bottom line: This is a disclosed and audited record with a routine auditor transition and no fraud findings. The governance opacity around the July 2026 promoter exit is a concern, as the promoter sold its entire stake and the board was cleared out on the same day. Watch the pending litigation hearings and whether the new board addresses the recurring audit exceptions.
