Onward Technologies Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

Onward Technologies has delivered seven years of unqualified audit opinions and a clean internal-controls record, and operating cash flow has strengthened to cover a rising dividend. Three things cut against that picture: revenue recognition is flagged as a presumed fraud risk every year while the top five clients reach 48% of sales, the general-ledger edit log has not been fully enabled for three consecutive audits, and a German subsidiary with persistent negative net worth has avoided further impairment even as valuation assumptions shifted favourably.

Key findings

  1. Revenue recognition is a recurring fraud-risk flag, and customer concentration is deepening Major - Revenue recognition is identified as a Key Audit Matter in the consolidated audit report for FY2024, FY2025 and FY2026 because of inherent and presumed fraud risk around the existence of revenue and the judgement in recognising performance obligations for time-and-material and fixed-price contracts. The top five clients contributed 48% of total revenue in FY2026, while the top 25 clients contributed 87%, up from 84% a year earlier. The loss allowance on trade receivables was written back from ₹41.29 lakhs to nil in FY2022 despite ₹4,639.30 lakhs of unsecured receivables outstanding, and was then reinstated at ₹12.25 lakhs in FY2023 and raised to ₹15.25 lakhs in FY2024.
  2. The audit trail was not fully enabled for three straight audits Major - The standalone and consolidated auditor reports for FY2024, FY2025 and FY2026 each state that the audit trail feature was not enabled in full at the application layer of the accounting software. In all three years the auditor also reported being unable to comment on whether the audit trail was enabled at the database layer, because the database is operated by a third-party service provider and no service organisation auditor’s report was available, and unable to comment on instances of tampering due to system limitations.
  3. A German subsidiary with persistent negative net worth has avoided further impairment Major - Onward Technologies GmbH had accumulated losses and negative net worth at every balance-sheet date from FY2021 through FY2023, yet no impairment has been recognised beyond amounts taken in earlier years. The discount rate used to value the subsidiary fell from 8.04% in FY2021 to 6.86% in FY2022 before rising to 9.23% in FY2023, while the sales growth rate range widened from 5-6% to 8-20% and then narrowed to 5-9% over the same period. The FY2022 annual report disclosed a revenue projection of approximately 50% growth for the subsidiary, a figure outside the stated 8-20% range.
  4. The subsidiary structure has been stable since FY2023 after a period of restructuring Minor - The group comprised one Indian subsidiary and four foreign subsidiaries with no associates or joint ventures at every year-end from FY2023 through FY2026. Between FY2021 and FY2023 the group incorporated two subsidiaries, acquired one, merged one, struck off one, and completed a promoter-level holding-company amalgamation. Three subsidiaries with total assets of ₹16.86 crore and total revenues of ₹31.67 crore were unaudited in FY2023, with financial statements certified by management.
  5. Minor regulatory lapses have been resolved with no ongoing proceedings Minor - Penalties were paid for SEBI insider-trading notices dated July 10, 2019, a stock-exchange penalty for non-compliance of Nomination and Remuneration Committee composition in FY2023, and late RBI filing fees for ESOP-related foreign-exchange forms in FY2023 and FY2024. On May 21, 2026, a monetary penalty of ₹10,00,000 was imposed for delay in filing 270 SOFTEX Forms; the order condoned the procedural delays and closed the issue. The FY2026 Corporate Governance report states no instances of non-compliance, penalty or restrictions by stock exchanges, SEBI or statutory authorities in the last three years.
  6. Operating cash flow has strengthened and covers the rising dividend Clean - Cumulative operating cash flow of ₹164.70 crore exceeded cumulative profit of ₹116.80 crore over FY22-FY26, with the annual cash-to-profit ratio improving from -0.17x in FY22 to 1.47x in FY26. Free cash flow was ₹47.09 crore in FY26 and ₹29.20 crore in FY25. The final dividend per share was ₹3 in FY21, FY22, and FY23, rose to ₹5 in FY24 and FY25, and reached ₹8 in FY26, with the FY26 outflow of ₹17.96 crore representing 55.83% of standalone profits.

What to watch

Bottom line: This is a disclosed and audited record with strengthening cash conversion and a clean contingent-liability position. The risk sits in three places: the combination of a recurring fraud-risk flag on revenue and deepening customer concentration, a three-year audit-trail gap that the auditor cannot close at the database layer, and a German subsidiary whose valuation assumptions have moved favourably while its net worth has stayed negative. Watch whether the edit log is enabled in FY2027 and what the next impairment test says about the subsidiary.
