Orient Bell Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

Orient Bell’s operating cash flow has consistently covered reported profit. Three things deserve attention: a material share of purchases flows through two thinly profitable associates at limits that nearly match their entire turnover, the audit trail at the database level has been missing for three consecutive years, and the company booked a one-time labour-code provision of ₹1.29 crore as exceptional while retained earnings includes a revaluation reserve of ₹41.53 crore that is not available for distribution.

Key findings

  1. Purchases routed through two associates at limits near 100% of their turnover Major - Orient Bell sought shareholder approval in FY2025-26 to buy up to ₹100 crore from Proton Granito and ₹50 crore from Corial Ceramic, associates it partly owns. Those limits equal 88% and 99% of each associate’s own turnover in the preceding year, yet Proton Granito earned a profit after tax of just ₹0.86 crore on ₹113.43 crore of turnover and Corial Ceramic earned ₹0.44 crore on ₹50.45 crore. Actual purchases from both associates rose year on year, and the company proposes a trade advance of up to ₹2.5 crore to Proton Granito.
  2. The audit trail was not enabled at the database level for three straight years Major - The auditor reported that the edit-log facility was not switched on at the database level for the accounting software in FY24, FY25, and FY26. In FY24 the auditor also flagged that the application-level audit trail was missing for trade receivables and could not comment on the payroll software because the third-party provider did not supply a service auditor’s report. Where the trail did operate, no tampering was found.
  3. Operating cash flow exceeds profit, but ROCE has halved as dividends rise Minor - Cumulative operating cash flow of ₹217.56 crore covered cumulative profit of ₹78.54 crore over FY21-FY26, and the company funded ₹234 crore of capex from internal accruals between FY2019 and FY2025. Return on capital employed fell from 10.12% in FY23 to 5.58% in FY26, while the dividend doubled from ₹0.50 per share in FY25 to ₹1.00 per share in FY26, a total outgo of ₹1.47 crore.
  4. A one-time labour-code provision of ₹1.29 crore was booked as exceptional Minor - The company recognised ₹1.29 crore of past service costs under new Labour Codes as an exceptional item in FY2025-26. Retained earnings includes a revaluation reserve of ₹41.53 crore that is not available for distribution.
  5. Two minor SEBI lapses in FY22 were resolved; no other regulator actions Minor - NSE and BSE each imposed a fine of ₹10,000 plus GST for a delay in compliance with SEBI listing regulations in FY22; NSE waived the fine and BSE took the company’s representation on record. A corrective disclosure on promoter shareholding was filed on 7 June 2021 after NSE sought clarification. No other penalties or strictures appear in the annual reports from FY19 through FY26.

What to watch

Bottom line: This is a disclosed and audited record with genuine cash generation. The risk sits in two places: the associate channel, where purchase limits nearly equal the associates’ entire turnover at near-zero margins, and the missing database audit trail, which weakens assurance over the books for three years running. Watch the RPT vote in August 2026 and whether the audit trail is switched on in FY27.
