Panache Digilife Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Panache Digilife's record is clean on its face: unqualified standalone audit opinions in every year from FY2020 through FY2026. But the numbers underneath tell a different story: nine years of reported profits have produced negative operating cash, a subsidiary has been treated as a non-going concern for two straight years, and GST demands have grown to nearly ₹10 crore.

Key findings

  1. Reported profits do not convert to operating cash Major - Cumulative operating cash flow is negative ₹15 crore against cumulative profit of ₹38 crore over nine years, a CFO/PAT of -0.40x. In FY2024-25, CFO was ₹-15.45 crore against PAT of ₹5.72 crore, and the company funded itself through equity issuance of 26.15 crore and warrants of 1.59 crore. The standalone bank balance closed FY2024-25 at negative 17.57 crore.
  2. Unsecured loans and guarantees flow to a non-going-concern subsidiary Major - Panache Digilife held an unsecured loan of ₹1.36 crore from wholly owned subsidiary Technofy Digital at 31 March 2026, whose financials were prepared on a non-going-concern basis with no expected credit loss provision. The FY2022-23 CARO annexure reported these loans had no repayment schedule and repayments were not regular. The FY2024-25 Board's Report stated no materially significant related party transactions existed, yet the FY2019-20 AGM sought approval for up to ₹70 crore of commerce with promoter-linked Panache Innovations.
  3. Clean standalone opinions, but qualified and flagged consolidated audits Major - Standalone opinions were unqualified every year from FY2020 through FY2026. The consolidated audit was qualified in FY2020 and FY2021 because Wemart Global FZE was unaudited. From FY2022 onward, the auditor flagged Technofy Digital's non-going-concern status and Canara Bank stock/book-debt statement mismatches without modifying the opinion.
  4. Borrowings are understated through leases, pledges, and bank-filed divergences Major - Consolidated assets pledged as security rose to 100.9 crore as at 31 March 2025 from 81.76 crore a year earlier. Quarterly current-asset statements filed with Canara Bank diverged from books in all four quarters of FY2024-25, with trade receivable differences from ₹(59.47) lakhs to ₹(507.38) lakhs. India Ratings withdrew its rating on 29 July 2025, citing non-cooperation.
  5. Profits are shaped by write-offs, an admitted Ind AS 21 violation, and restatements Major - The company translates foreign currency at the rate on payment or receipt date, a practice it admits "is not consistent with the provisions of Ind AS 21". Exceptional losses of 4.35 crore were booked in FY2024 for non-receipt of GST credit and advance payments to foreign suppliers. A prior-period error of ₹(10.33) lakhs was restated in retained earnings as at 01 April 2023.
  6. Revenue depends on one customer, and cash conversion stays weak Major - One customer bought 43.24% of total sales, 50.13 crore of 115.93 crore, in FY2024-25. Receivable days rose from 154 in FY2025-26 to 203 in FY2024-25 and 180 in FY2023-24. CFO/PAT was -2.70x in FY2024-25 and -0.32x in FY2025-26.
  7. The subsidiary roster is unstable and repeatedly reshaped Major - The consolidated group in FY2024-25 included Technofy Digital, Panache Newage Technology, Air Digilife, and associate Cadcord Technologies. Technofy Digital was prepared on a non-going-concern basis for both FY2024-25 and FY2025-26. On 29 April 2026, the company announced the acquisition of Technofy Digital for up to ₹2.25 crore, a related party transaction with promoters having an interest.

What to watch

Bottom line: This is a record of clean standalone audit opinions sitting on top of a weak cash engine. The company's profits have not converted to cash for nine years, its one operating subsidiary is a non-going concern, and it faces disputed GST demands of ₹225.79 crore, ₹221.35 crore, ₹128.66 crore, and ₹222.41 crore. The risk is concentrated in related-party structures and bank-filed divergences; watch the appeals, the Technofy acquisition, and the warrant exercise.
