Persistent Systems Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

Persistent Systems has built a clean, cash-rich record over six years: unqualified audit opinions, cumulative operating cash flow that exceeds cumulative profit, and zero bank borrowings as of March 2026. That record is about to be rewritten. The company is asking shareholders to guarantee up to EUR 1.54 billion for a subsidiary’s acquisition, a move that will flip the group from net cash to leverage of up to 4.5x. Alongside that transformation sit a ₹1,082.67 crore disputed tax demand, goodwill that has more than doubled to ₹1,359.69 crore without impairment, and accounting-policy changes, estimate revisions, and reserve write-backs that cumulatively boost reported profit.

  5. Revenue recognition on fixed-price contracts is a persistent Key Audit Matter, and the provision for doubtful debts has more than tripled Minor - Revenue recognition on fixed-price contracts using the percentage-of-completion method has been a Key Audit Matter in every annual report from FY2019 through FY2026. ROCE was 29.87% in FY26, and the company had zero borrowings excluding leases.

What to watch

Bottom line: This is a disclosed and audited record with real cash generation and zero debt. The character of the risk has changed: the Nagarro guarantee, if approved and drawn, will load leverage onto a balance sheet that has never carried it, while the disputed tax demand and the untested goodwill sit on the existing book. Watch the shareholder vote, the ICRA rating resolution, and the tax appeals, together they will determine whether the post-acquisition Persistent keeps its financial shape.
