Phoenix Overseas presents a record of unqualified audit opinions and a disclosed group structure, but the cash generation behind its reported profits is thin. Over six years, operating cash flow of ₹6 crore covers barely a third of adjusted profit, while IPO proceeds earmarked for inorganic growth sit idle. The statutory auditor resigned less than two months after signing the FY26 accounts, and ₹13,279 lacs in corporate guarantees to related entities sit off the balance sheet with no provision.
Key findings
- Operating cash flow covers only 0.34x of adjusted profit over six years
Major- Cumulative cash flow from operations from FY21 to FY26 was ₹6 crore against cumulative PAT less other income of ₹17 crore. Annual CFO was negative in four of the last five years, including -₹21.47 crore in FY25 and -₹4.71 crore in FY26. The Board recommended a final dividend of ₹0.60 per share for FY26 despite the negative cash flow and a six-year CFO/EBITDA of just 0.10x. - The statutory auditor resigned on 11 July 2026, less than two months after signing the FY26 report
Major- M/s. Jain Seth & Co. resigned effective 11 July 2026, citing poor health of a partner, after signing the FY26 audit reports on 20 May 2026. The Board recommended M/s. L.B. Jha & Co. LLP to fill the vacancy for FY2026-27 only. Audit fees paid to the outgoing firm were Rs. 2.25 lakhs in FY26. - Audit opinions are unqualified but highlight unprovided disputed demands
Minor- The standalone and consolidated audit opinions for FY26 are unqualified. The consolidated auditor identifies disputed customs and GST demands totalling ₹460.92 lacs as Key Audit Matters and states no provision has been made for probable loss on these matters. The consolidated audit relies on other auditors for a subsidiary and an associate whose accounts are prepared manually without an audit trail. - The group operates through a thin structure with one dormant subsidiary
Minor- As at 31 March 2026, the group had two subsidiaries and two associates; one subsidiary, Phoenix Biogen Private Limited incorporated on 22 July 2024, has not yet commenced operations. The consolidated auditor's opinion on the FY26 financial statements relies solely on the reports of other auditors for one subsidiary and one associate. - Non-standard accounting policies include a predetermined exchange rate and internal gratuity estimates
Minor- The company uses a predetermined exchange rate based on a forward contract with its banker rather than the closing rate for foreign currency transactions under AS-11. The gratuity liability is provided based on internal estimates pending finalisation of an actuarial agency, a practice followed in both FY25 and FY26.
What to watch
- GST appeal outcome. The Kolkata High Court is hearing an appeal against a GST input tax credit disallowance of 1.09 crore plus penalty of ₹10.92 lakhs, ordered on 30 August 2024.
- Customs duty appeals. Three customs duty matters from FY2007-08 and FY2015-16, with demands of 2.04 crore and penalties of 1.69 crore, remain pending before CESTAT as at 31 March 2026.
- Corporate guarantee crystallisation. The ₹13,279 lacs in guarantees to BCPL Railway Infrastructure Limited and BCL Bio Energy Private Limited were outstanding as at 31 March 2026.
- IPO proceeds utilisation. 14.23 crore of IPO proceeds, including the full 6 crore for inorganic growth, remained unutilised as of the FY26 audit report date.
- Auditor appointment. Shareholders will vote on the appointment of M/s. L.B. Jha & Co. LLP at the AGM for FY26, with the firm appointed for FY2026-27 only until the 2027 AGM.
Bottom line: This is a disclosed record with clean audit opinions, but the cash engine is weak. Six years of operations have produced only ₹6 crore of cumulative operating cash flow against ₹17 crore of adjusted profit, and the IPO war chest for growth remains untouched. The auditor's mid-tenure resignation and the unprovided guarantees to related entities add weight to the question of whether the balance sheet carries risks the profit statement does not yet show. Watch the GST and customs appeals, and whether the idle IPO funds find a destination.
