Pidilite Industries carries an unqualified audit opinion every year, a clean statutory-auditor rotation, and steady cash generation. Three things sit beneath that surface: audit-trail gaps that recur across the holding company and subsidiaries, a goodwill and indefinite-life intangible balance that has never been impaired, and a pattern of funding an associate that was fully provided for and converted while routine related-party trade continues.
Key findings
- Recurring audit-trail gaps persist across the holding company and subsidiaries
Major- The standalone auditor reported in FY2026 that the audit trail was not enabled at the database level for the scheme-master software and that database logs for the general ledger were not retained before 8 September 2025. The consolidated auditor reported that one subsidiary had no audit trail for its general-ledger software, one had the audit trail not enabled for certain fields, and one associate enabled it only from 16 June 2025. Certain Indian subsidiaries also carry adverse remarks in their own CARO reports. - A sprawling group of over 30 entities includes numerous loss-making subsidiaries and an investment vehicle funnelling capital into early-stage losses
Major- The group comprised 30 subsidiaries, 7 associates, and 1 joint venture as of FY2024-25, with 12 subsidiaries reporting negative reserves and 3 reporting net liabilities. Pidilite Ventures Pvt Ltd, a wholly owned subsidiary with nil turnover, reported a loss after tax of ₹17.08 crore in both FY2024-25 and FY2023-24 while making investments in early-stage companies. The company states in its corporate governance report each year that it has no material subsidiary. - Promoter family members hold key executive and board roles with multi-year remuneration packages approved despite recurring dissent from public institutional shareholders

Minor- The CARO report for FY2025-26 lists disputed statutory dues across Excise Duty, Custom Duty, Sales Tax, Service Tax, GST, and Income-Tax. The divestment of Pulvitec do Brasil resulted in revised indemnity obligations of ₹13.88 crore disclosed as at 31 March 2026, with a net charge of ₹2.84 crore recognised in the profit and loss as an exceptional item. The company also received a notice dated 5 May 2025 from the Collector of Stamps, Mumbai, under the Maharashtra Stamp Duty Amnesty Scheme 2023 with a reduced penalty of ₹25,00,000. - Revenue recognition is a recurring Key Audit Matter due to estimation of variable consideration, while customer concentration is absent and receivables quality shows no systemic deterioration
Minor- The auditor identified revenue recognition as a Key Audit Matter in the standalone and consolidated financial statements for FY2023-24, FY2024-25, and FY2025-26, citing the risk of overstatement from estimating variable consideration. Variable consideration reduced the contracted price to recognised revenue by ₹1,784.87 crore in FY2024-25. Clean- The Group assigns indefinite useful lives to certain copyrights and trademarks, a policy unchanged from FY2020-21 through FY2025-26. Deferred tax assets of ₹7.05 crore were not recognised on carried forward capital losses of ₹49.32 crore as of 31 March 2026; these losses lapse in FY2031-32. Business combinations under common control are accounted for using the pooling of interests method, with the mergers of Pidilite Adhesives Pvt Ltd and Cipy Polyurethanes Pvt Ltd effective from 1 April 2022.
What to watch
- Next annual audit opinion and CARO report for FY2026-27. Whether the audit-trail exceptions at the holding-company database level and at subsidiaries are resolved. (D1 period: FY2025-26)
- Next annual impairment test of the Consumer & Bazaar CGU. Carrying amount of ₹1,329.64 crore of copyrights and trademark with indefinite useful lives as at 31 March 2026.
- Completion of Buildnext sale to JSW One Platforms Limited. Expected by 10 August 2026.
- Resolution of disputed statutory dues. Disclosed in the CARO report for the year ended 31 March 2026.
Bottom line: This is a disclosed and audited record with a clean audit rotation and consistent accounting policies. The risk sits in three places: audit-trail gaps that have persisted for years across the holding company and subsidiaries, a large goodwill and intangibles balance that has not required an impairment charge in annual testing, and a sprawling group structure that includes numerous loss-making subsidiaries and an investment vehicle funnelling capital into early-stage losses. Watch the next CARO report, the next impairment test, and whether the Aapkapainter Solutions exposure resolves or grows.
