Paul Merchants Ltd's record carries a clean audit history on its face, seven straight unqualified opinions, but the numbers underneath tell a different story. The consolidated entity lost ₹9.78 crore while the sole material unlisted subsidiary booked a ₹269 crore profit driven by a slump-sale gain the principal auditor never audited. Promoter-family pay rose to ₹3.60 crore annually as profits turned negative, and cumulative operating cash flow covered only 0.34 times profit over nine years.

What to watch

- Director re-appointment. Shareholder approval for Mr. Ritesh Vaid's re-appointment is required before 12.11.2026, with a Special Resolution at the 42nd AGM (notice dispatched 20 Aug 2026).
- RBI MTSS license. Outcome of the revised application dated 14.07.2026, following rejection of the November 06, 2025 application without specific reason.
- ED adjudication. Status of the application to drop proceedings on 1,138 overseas remittance transactions, pending as of the FY2024-25 report date.
- Slump sale second tranche. Second Tranche consideration from the gold loan business sale to L&T Finance is to be received in due course, per the FY2024-25 Annual Report.
Bottom line: This is a record with a clean audit opinion every year, but the substance beneath it is a business in decline whose reported profits are increasingly one-off gains, whose cash flow has not backed earnings for nine years, and whose material subsidiary was never audited by the principal auditor. The risk is concentrated in how profits are recognised and where the debt actually sits. Watch the regulatory outcomes and the second tranche of the slump sale.
