Priti International's record carries a clean audit opinion, but that opinion sits on top of a year of collapsing revenue, a cash flow that has turned negative, and a related-party transaction that was acquired and sold to the promoters within six weeks. The most serious issue is that the company sought shareholder approval to lend a related party up to ₹20 crore while its annual reports stated no material related-party transactions occurred.
Key findings
- Related party acquired, sold to promoters at face value, and lent up to ₹20 crore while reports deny material RPTs
Critical- On 29 September 2022, the company acquired Priti Innovations Private Limited, a related party, and on 12 November 2022 the Board transferred the entire holding to promoters at face value for ₹5,10,000. Shareholders approved a ₹20 crore material RPT limit with the same entity at the AGM on 27/09/2023. The FY2025-26 and FY2024-25 annual reports both state "No material related party transactions" and that Form AOC-2 is not applicable. - Operating cash flow covered only 0.31x of cumulative earnings over nine years, swinging to a ₹6.18 crore loss in FY25
Major- Cumulative operating cash flow was ₹6 crore against cumulative PAT of ₹35 crore less other income of ₹16 crore, a 0.31x coverage ratio over nine years. CFO/PAT swung from 1.23x in FY22 to -1.30x in FY25, when CFO was ₹-6.18 crore. Operating expenses including employee costs and manufacturing supplies are capitalised into asset costs. - Revenue collapsed 66.6% in FY2026, booked at port dispatch, with no credit-loss provision
Major- Revenue fell to ₹25.74 crore in FY2026 from ₹77.06 crore in FY2025, a decline of \~66.60%. Export revenue is booked "as soon as container is dispatched from port". No expected credit loss provision has been made on trade receivables in FY2026, FY2025, FY2024, FY2022, or FY2021. - Clean opinion masks three years of unverified PPE and inventory, and a qualified internal-controls opinion
Major- P Singhvi & Associates issued an unqualified opinion for FY2026 but qualified its opinion on internal financial controls because PPE physical verification controls were not operating effectively. CARO for FY2025-26 states PPE and inventory were not physically verified and title deeds are NOT held in the company's name. The same verification gaps for PPE and inventory were reported in FY2024-25 and FY2023-24. - One founding family holds all three executive offices, seeks authority to exceed statutory pay caps, while no non-executive director has been paid for years
Major- As on March 31, 2026, the Managing Director, CFO, and Chairperson are all members of one founding-promoter family. The FY2026 AGM seeks re-designation of all three with authority to pay remuneration exceeding Section 197 and SEBI Listing Regulation limits. No salary, commission, or sitting fee was paid to any Non-Executive Director in FY2026, FY2025, FY2023, or FY2022. - No-subsidiary structure maintained, except Priti Innovations, incorporated and divested within six weeks in 2022
Major- Priti Innovations Private Limited was incorporated on 29 September 2022 and ceased to be a subsidiary by Board approval on 12 November 2022. The entire equity was transferred to promoters at face value for ₹5,10,000. As at FY2021-22 year-end, the company had no subsidiary, joint venture, or associate. - Disputed tax claims pending appeal are disclosed but not provided for, while auditor statements shifted from "none" to uncertain claims
Minor- The FY2025-26 statements disclose contingent liabilities for disputed Sales Tax, Income Tax, and Excise claims pending in appeal "for which no reliable estimate can be made". The FY2022-23 auditor's report stated the company had no pending litigations, a statement not repeated in FY2025-26. The FY2021-22 statements note MSMED interest due was not provided in the books.
What to watch
- FY2026-27 audit, asset verification. Whether the auditor again reports PPE and inventory unverified, and whether the qualified internal-financial-controls opinion persists or escalates.
- FY2026-27 audit, title deeds. Whether title deeds of freehold immovable properties remain not held in the company's name at the next balance sheet date.
- Priti Innovations loan. Whether any loan, guarantee, or security is actually advanced under the section 185 approval granted via postal ballot during FY2024.
- ₹20 crore RPT limit. Whether the material RPT limit with Priti Innovations approved at the AGM on 27/09/2023 is utilised or renewed.
- Board composition. Whether further board changes occur following the cessation of Ms. Tamanna Kumari on August 12, 2026 and the resignation of Ms. Leela Lohiya on January 15, 2026, given the Board must maintain more than half Independent Directors.
Bottom line: This is a record with a clean audit opinion but a cash flow that has turned negative, a revenue base that has shrunk by two-thirds, and a related-party transaction that was acquired and sold to the promoters at face value within six weeks. The character of the risk is disclosure: the company's annual reports deny material related-party transactions while shareholders are asked to approve lending the same entity ₹20 crore. Watch whether the next audit repeats the asset-verification findings, and whether any loan to Priti Innovations actually materialises.
