Prostarm Info Systems Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Prostarm Info Systems' record is clean on its face: unqualified audit opinions across both years, a simple fully-owned group structure, and tax and customs challenges that have largely resolved in the company's favour. Three things deserve attention: a single customer's ₹158 crore receivable drove debtor days to 241 and left cumulative operating cash flow negative ₹71 crore against ₹115 crore of profit; consolidated borrowings rose 25% to ₹84.12 crore while management frames the company as "effectively net debt-free"; and the auditor has repeatedly noted internal financial controls are not adequately documented.

Key findings

  1. One customer's ₹158 crore receivable drove debtor days to 241 Major - Consolidated trade receivables rose to 254.56 crore as at March 31, 2026 from 106.04 crore as at March 31, 2025. Receivables stood at INR254 crores in Q4 FY26, of which INR158 crores related to a single major order executed in Q3 and completed in Q4 FY26. Management stated that excluding the INR158 crore receivable and the related INR134 crore net revenue from that project, debtor days would fall to \~90 days from 241 days.
  2. Reported profits have not converted to operating cash for four consecutive years Major - Cumulative CFO over five years is negative ₹71 crore against cumulative PAT of ₹115 crore less other income of ₹12 crore, a ratio of -0.69x. Annual CFO was negative in each of FY23 (₹-13.50 crore), FY24 (₹-7.80 crore), FY25 (₹-5.46 crore), and FY26 (₹-48.81 crore), while PAT was positive in each of those years at ₹19.35 crore, ₹22.83 crore, ₹28.85 crore, and ₹33.01 crore respectively. Management guided that operating cash flow will turn positive by "quarter three of current financial year" and for FY27 as a whole, but this is a forward-looking statement with no contractual or historical basis provided.
  3. Management's "net debt-free" framing omits a 25% rise in consolidated borrowings Major - Consolidated borrowings increased to 84.12 crore as at March 31, 2026 from 67.23 crore as at March 31, 2025. Management frames the company as "effectively a net debt-free company" by highlighting long-term debt reduction from INR3.4 crores to \~INR80 lakhs, while simultaneously noting fixed deposits of over INR102 crores, but does not reconcile this with working capital of INR83 crores (up from INR64 crores) and negative operating cash flow of \~INR48 crores. The MD&A states the Company is "not debt-free" but has a "healthy liquidity position".
  4. Clean audit opinions, but internal financial controls are not adequately documented Minor - The independent auditor issued an unqualified opinion on the standalone and consolidated financial statements for the year ended March 31, 2026, and for the year ended March 31, 2025. The auditor's Other Matter paragraph in the FY2025-26 IFC report states the company is "in the process of further strengthening and formalizing its internal financial control framework, including documentation of process-level controls, standard operating procedures and monitoring controls," while no material weakness was noticed. CARO clause (i)(b) for FY2025-26 states no physical verification of Property, Plant & Equipment was carried out by management during the year ended March 31, 2026.
  5. Promoter control is absolute at 72.82% with zero pledge, but ESOP 2024 has been repeatedly amended Minor - Promoter & Promoter Group held 72.82% of paid-up capital as on March 31, 2026, unchanged from 72.82% as on March 31, 2025, with zero shares pledged in both years. The ESOP 2024 pool was originally approved by members on September 18, 2024, increased from 19.5 lakh options to 40 lakh options at an EGM on February 12, 2025, and further amended by the Board on May 22, 2026 with member approval via postal ballot concluded June 25, 2026. Mr. Raghu Ramesh Thammannashastri was re-appointed as Whole-Time Director for one year from April 1, 2025 to March 31, 2026, then on August 14, 2025 the Board approved a revised three-year term from October 1, 2025 to September 30, 2028, but he resigned effective November 30, 2025 citing "health issue and other commitments", less than two months into the revised term.
  6. Related-party dealings are concentrated in a promoter-linked acquisition and a ₹500 crore Section 185 authorisation Minor - On 24 January 2025, Prostarm acquired the remaining 49% stake (33,22,200 shares) in Prostarm Energy Systems Private Limited from Mr. Radhakrishnan Nair for ₹11.59 crore, making it a wholly owned subsidiary. The Postal Ballot Notice dated 1 Dec 2025 proposed a limit of Rs. 500 Crores aggregate outstanding amount for loans, advances, guarantees, or securities to entities in which directors are interested or deemed to be interested, provided such assistance is used for the borrowing entity's principal business activities only. All related party transactions in FY2025-26 were in ordinary course and at arm's length; no material contracts requiring Form AOC-2 disclosure.
  7. Tax and customs challenges have largely resolved in the company's favour Minor - On 28 October 2025, Prostarm received an order confirming drop of all proceedings against the GST SCN dated 30 June 2025 from the Maharashtra GST Department. On 4 August 2025, Prostarm received an Order-in-Original from the Commissioner of Customs, Nhava Seva, Raigad, Maharashtra, confirming no liability for a disputed amount of ₹25.66 Crores and dropping proceedings against the SCN dated 21 May 2024. On 10 April 2026, the Customs Department filed an appeal before the Customs, Excise and Service Tax Appellate Tribunal, Mumbai, against the Order-in-Original that had confirmed no liability on a disputed amount of ₹25.66 Crores.
  8. The group's structure is a simple, fully-owned chain that expanded during FY2025-26 Clean - As on March 31, 2026, the Company had three subsidiaries: Prostarm Energy Systems Private Limited (wholly owned), Prostarm Bihar BESS Private Limited (wholly owned, incorporated August 19, 2025), and Prostarm Karnataka BESS Private Limited (wholly owned, incorporated September 9, 2025), with no joint ventures or associate companies. During FY2025-26, the Company incorporated Prostarm Bihar BESS Private Limited and Prostarm Karnataka BESS Private Limited, subscribing to 50,000 equity shares of ₹10 each (₹5,00,000) in each, making them wholly owned subsidiaries. On July 6, 2026, EV Swapping Private Limited (a promoter group company) was voluntarily struck off and dissolved under Section 248 of the Companies Act, 2013; the company reported NIL turnover/revenue/income and net worth contributed by this entity during the last financial year.
  9. Statutory auditor rotation proceeds on schedule with no resignations or fee anomalies Clean - M/s Mansaka Ravi & Associates (FRN 015023C) were re-appointed at the 13th AGM on November 30, 2021 for a five-year term from FY2021-22 to FY2025-26, completing their second term at the 19th AGM. The Board on August 12, 2026 recommended appointment of M/s Valawat and Associates (FRN 003623C, Peer Reviewed No. 019982) as Statutory Auditors for FY2026-27 to FY2030-31, replacing M/s Mansaka Ravi & Associates. CARO clause (xviii) in the FY2024-25 standalone audit report states: "No resignation of statutory auditors during the year".

What to watch

Bottom line: This is a disclosed and audited record with a simple group structure and tax matters largely resolved in the company's favour. The risk sits in one place: cash conversion. A single customer's receivable has absorbed the working capital cycle, and four consecutive years of negative operating cash flow against positive reported profit means the income statement and the cash register tell different stories. Watch whether the INR158 crore receivable is collected in Q1 FY27 as guided, and whether the ₹500 crore Section 185 authorisation is ever drawn upon.
