Ramco Systems’ record is a study in persistence: seven years of unqualified audit opinions and a clean CARO report sit alongside seven years of the same Key Audit Matter, an intangible-and-investment base that has never been impaired, and a widening set of cross-border tax disputes. The cash flow turned positive in FY26, but the standalone parent has not made a profit in five years and the overseas subsidiary network remains capital-eroded.
Key findings
- Revenue recognition is a Key Audit Matter for the seventh straight year
Major- Revenue recognition and trade receivables have been designated a Key Audit Matter, an area requiring the most auditor judgement, in every annual report from FY2020 through FY2026. The share of consolidated revenue from fixed-price contracts, which require estimates of future costs, rose from 73% in FY2023 to 82% in FY2026. A one-time provision of ₹123.6 crore in H1 FY2024 reset the receivables base, yet standalone trade receivables from overseas subsidiaries climbed to 73% of the total by March 2026. - Promoter control is entrenched through succession and shareholding increases
Minor- Promoter and promoter group shareholding rose from 53.21% to 55.68% between March 2025 and March 2026. The Chairman’s son was designated Managing Director effective November 2024. Public institutional shareholders voted 100% against the ESOS 2022 scheme at the August 2022 AGM, and 100% against the appointment of an independent director in April 2025, though both resolutions passed on promoter votes. A new ESOS 2026 scheme authorising up to 15,00,000 options has been proposed. - The parent provisions against a disputed MAT credit while subsidiaries do not recognise deferred tax assets
Minor- The parent company has created a provision for MAT credit denied under Section 115JAA(2A) and continues to provide for it while the writ petition is pending in the Madras High Court. Most overseas subsidiaries did not recognise deferred tax assets on accumulated losses in FY2026 because future taxable profits were not probable. A one-time past service cost of ₹21.50 crore was booked in FY2026 following new labour codes. - Unqualified audit opinions and clean CARO reports across all years
Clean- The standalone and consolidated audit opinions were unqualified every year from FY2020 through FY2026. The CARO report states no fraud was noticed, no whistleblower complaints were received, and the company was not declared a wilful defaulter in any year from FY2022 through FY2026. Subsidiaries not audited by the principal auditor contributed ₹561.45 crore of total assets and ₹520.37 crore of total revenues in FY2026. - Operating cash flow turned positive and covered reported profit in FY26
Clean- Consolidated operating cash flow was ₹134.45 crore in FY26 against a consolidated profit after tax of ₹42.06 crore, a CFO/PAT ratio of 3.20x. Free cash flow was positive at ₹57.93 crore in FY26, ₹33.53 crore in FY25, and ₹15.37 crore in FY24. No dividend was recommended for FY25, FY24, FY23, or FY20.
What to watch
- Transfer pricing adjustments of ₹40.41 crore for AY 2023-24. Appeal to be filed within 30 days of the 2 March 2026 assessment order.
- Philippines subsidiary tax demands. PHP 6.02 crore for FY 2017-18 under appeal to the Court of Tax Appeals, and PHP 7.24 crore for FY 2022-23 with an administrative protest to be filed, as disclosed on 29 April 2025 and 10 September 2025.
- Carry forward loss reduced by ₹77.45 crore. Outcome of the appeal against the Section 143(1) intimation for AY 2024-25, as disclosed on 5 March 2025.
- MAT credit writ petition. Outcome of the Madras High Court challenge to the proviso to Section 115JAA(2A), as disclosed in the FY2026 annual report.
- Annual impairment testing. Assessment of the ₹347.08 crore intangible and ₹406.33 crore subsidiary investments for the year ending 31 March 2027.
Bottom line: This is a disclosed and repeatedly audited record where the auditor has flagged the same two judgement areas, revenue recognition and asset carrying values, for seven years without a qualification. The risk is that those judgements are concentrated in a loss-making standalone parent and a capital-eroded subsidiary network, while tax authorities across multiple jurisdictions are now pressing claims that together exceed the disputed amounts of any prior year. Watch the impairment tests and the tax appeal outcomes.
