Raymond Realty’s record is a story of two halves: a clean regulatory slate and a revenue surge that has not yet reached the cash line. Revenue multiplied 5.3× to ₹2,991 crore in FY26, but operating cash flow swung to a negative ₹910 crore, and management stated the company will be “cash negative on an overall basis” for the next two years.
Key findings
- Three years of deeply negative cash flow diverge from reported profit, while dividends are declared and cash is restricted
Major- Consolidated operating cash flow was negative ₹910 crore in FY26, negative ₹237 crore in FY25, and negative ₹226 crore in FY24, against a cumulative consolidated profit of ₹278 crore over the same period. The Board recommended a final dividend of ₹2 per share for FY26, approved by shareholders on 14 July 2026 with 99.9978% votes in favour. Management stated the company will be “cash negative on an overall basis” for the next two years and that FY26 operating cash flow was negative due to “growth investments and approvals”. - A demerger reshapes the financial profile, and a ₹153.61cr land-and-CWIP reclassification signals a pivot to development
Minor- The NCLT approved the demerger of Raymond Limited’s realty business into Raymond Realty Ltd on 27 March 2025, with an Appointed Date of 1 April 2025 and an Effective Date of 30 April 2025. The demerger was accounted for as a capital reorganisation, recording assets and liabilities at their book values, and the company states that financial ratios are not comparable due to the demerger. The company reclassified land of ₹145.89 crore and CWIP of ₹7.72 crore to inventory in FY26 due to a change in intended use from own use to developing projects. - The group is layering its holding structure through newly incorporated, thinly capitalised subsidiaries, while a legacy LLP was dissolved without trading
Minor- During FY26, Raymond Realty Ltd incorporated two new wholly owned subsidiaries: Chembur Realty Limited (incorporated 29 October 2025, acquired 27 January 2026) and Ten X Realty South Limited (incorporated 15 May 2026), each with authorised share capital of ₹1,00,000 and nil turnover at incorporation. The standalone company invested ₹100 crore in 0.01% NCRPS of Ten X Realty West Limited and a further ₹50 crore in 0.01% NCRPS of Ten X Realty Limited during FY26. Management states the company’s effective economic interest in the Kandivali JDA is a 70% revenue share, but the accounting treatment is not disclosed. - An Income Tax survey and a show-cause notice to a subsidiary are the only regulatory actions disclosed; no penalties or adverse orders have been imposed
Clean- The Income Tax Department conducted a survey under Section 133A at some of Raymond Realty’s offices on 25 September 2025. On 11 March 2026, material subsidiary Ten X Realty Limited received a Show Cause Notice under Section 148A(1) for FY23 alleging escaped income of ₹1,43,23,625. The Board’s Report confirms that no significant and material order was passed by regulators, courts or tribunals impacting the company’s going concern status or operations.
What to watch
- Resolution of the Section 148A show-cause notice issued to Ten X Realty Limited. The notice is dated 11 March 2026; no scheduled hearing date was disclosed as of the FY26 Annual Report.
- Grant of replacement options under the Raymond Realty ESOP Plan 2026. The grant was pending stock exchange approval as of the FY26 financial statement approval date.
- Payment of commission to Non-Executive Directors for FY26. The payment is subject to shareholder approval at the ensuing 7th AGM.
Bottom line: This is a disclosed record with no regulatory penalties and a clean audit trail through a complex demerger. The risk is concentrated in the gap between reported revenue and cash realisation: three years of deeply negative operating cash flow totalling ₹1,373 crore against a cumulative profit of ₹278 crore, while receivables days rose sharply from 4.93 in FY25 to 27.53 in FY26. Watch whether the receivables discrepancy is resolved and whether the projected annual free cash flywheel begins to materialise.
