Redington’s record is clean on audit: eight years of unqualified opinions, no fraud or wilful default findings, and prior-year audit trail gaps were fully remediated by FY2025-26. Three things deserve attention. First, tax and data-deletion claims against the group exceed ₹940 crore, with ₹363 crore unprovided on a permanent-establishment dispute and two fresh standalone demands of ₹233.66 crore and ₹136.25 crore. Second, operating cash conversion has collapsed, cumulative CFO/PAT is negative over the last four years, yet dividends and buybacks continue, funded by subsidiary dividends and an exceptional asset-sale gain. Third, impairment charges across Turkish operations and ProConnect have escalated from a ₹24.55 crore goodwill write-down in FY25 to a ₹152.31 crore trade-name impairment in FY26, while management flags potential further corrections.
Key findings
- Tax and data-deletion claims exceed ₹940 crore, with ₹363 crore unprovided
Major- The Income Tax Department raised a demand of ₹427.21 crore against subsidiary Redington Distribution Pte Limited for 12 assessment years, alleging a Permanent Establishment in India. A Mutual Agreement Procedure resolved 9 of those years with 25% profit attribution and a penalty waiver of ₹24.39 crore during FY2025-26, but the Group has booked a provision of only ₹64.11 crore, leaving ₹363.10 crore unprovided based on legal and tax advisor opinion. Redington Ltd separately received income-tax demands of ₹233.66 crore for AY 2020-21 on 30 September 2023 and ₹136.25 crore for AY 2021-22 on 29 December 2023, both of which it will contest, while an end customer has initiated proceedings claiming ₹150 crore for alleged data deletion, where the Company obtained an interim stay from the Karnataka High Court. - Operating cash conversion has collapsed while dividends and buybacks continue

Over the 10-year history, cumulative CFO/EBITDA is 0.43x. The Board recommended dividends of ₹6.00 per share for FY26 (₹469.06 crore payout), continuing a pattern of ₹6.80 for FY25, ₹6.20 for FY24, and ₹7.20 for FY23, while consolidated free cash flow was ₹165 crore in FY25 and negative ₹3,377 crore in FY23. Standalone dividend from subsidiary companies funded the ₹586.4 crore dividend outflow in FY26, and an exceptional gain of ₹625.77 crore on the sale of Paynet Ödeme Hizmetler A.Ş was recorded in FY25. - Impairment charges across Turkish operations and ProConnect are escalating
Major- Redington Gulf FZE recognised an impairment loss of ₹71.06 crore on its investment in Arena (Turkey) in FY2018-19 due to Turkish Lira devaluation and challenging business conditions. In FY2024-25, an impairment loss of ₹24.55 crore was recognised on goodwill of Arena Connect. In FY2025-26, Redington Gulf FZE recognised an impairment loss of ₹152.31 crore on the Arena trade name as an exceptional item, with a post-tax impact after NCI of ₹75.24 crore, and a goodwill impairment of ₹9.24 crore was recognised for the ProConnect CGU. Goodwill of ₹58.71 crore was disposed of upon assignment of the Vodafone distribution agreement by Arena Connect to Datagate Bilgisayar for consideration of ₹70.88 crore under an agreement dated September 19, 2025. Management stated in the Q4 FY26 earnings call that Arena’s book value of investment is about $0.8 crore while market value is about $75 million, and that “if there are any significant corrections, it may call for the investment of current, I mean, book value also”. - Exceptional items are excluded from the headline profit narrative
Major- In the Q4 FY2026 earnings call, management presented a quarterly profit of ₹467 crore “excluding exceptional items,” while the reported consolidated PAT after minority was ₹391 crore and profit before minority was ₹287 crore; management stated “we have eliminated the impairment loss from this”. The excluded exceptional item was a consolidated impairment loss of ₹152.31 crore on the Arena trade name, while in FY2024-25 the company recorded a consolidated exceptional gain of ₹625.77 crore on the sale of Paynet. Consolidated inventory write-down swung from a reversal of ₹86.22 crore in FY2023-24 to a charge of ₹10.07 crore in FY2024-25 and ₹52.43 crore in FY2025-26. The Income Tax Department raised a tax demand of ₹404.18 crore against Redington Distribution Pte Limited for 11 financial years; management created a provision of ₹64 crore and left ₹340.18 crore unprovided. - Supplier rebates are material to profits and manually calculated
Minor- Supplier rebates have been a Key Audit Matter, an area requiring the most auditor judgement, in every annual report from FY2018-19 through FY2024-25, with the auditor noting the quantum is significant relative to profits and calculation involves manual processes and varied programme terms. Consolidated allowance for impairment of trade receivables and other financial assets rose to ₹223.90 crore in FY26 from ₹59.47 crore in FY25, and factoring charges increased to ₹38.9 crore in FY25 from ₹19.34 crore in FY24. Management stated in the Q4 FY26 call that AR provisions were “on the higher side” due to “one-off provisions” in Saudi Arabia and India for “government receivables which has taken some time,” describing them as “cautionary provisions” while remaining “confident of recovery”. - Governance friction from shareholder dissent and a cooling-off bypass
Minor- Redington has had zero promoter shareholding since September 2019 and SEBI classifies it as a listed entity with no promoter. Mr. V.S. Hariharan resigned as Independent Director on September 1, 2023 and was appointed Group CEO on September 11, 2023 without serving the one-year cooling-off period under SEBI LODR Regulation 25(11); the company argued the rule applies only to executive or whole-time director roles. Shareholders voted 20.11% against his appointment, with 36.02% of public institutional votes cast against, and the RSU Scheme 2023 was rejected by shareholders at the July 2023 AGM with 29.14%, 28.99%, and 71.09% votes against the three resolutions. Mr. Rajiv Srivastava resigned as Managing Director with immediate effect on August 11, 2023; the board meeting that day lasted 15 minutes. - A sprawling offshore structure of over 50 subsidiaries is in constant churn
Minor- As of March 31, 2026, the group comprised two direct and one step-down subsidiary in India, and two direct and 49 step-down subsidiaries overseas. Eight entities ceased operations during FY26, and Redington International Mauritius Limited completed its re-domiciliation from Mauritius to Dubai (DIFC) on February 23, 2026. The associate Redington (India) Investments Limited exited its business in FY21 and the company is still evaluating restructuring options including winding up as of March 31, 2026. Arena Bilgisayar’s business “is down by half” from $1 billion to $0.5 billion, with a Q4 FY26 loss of ₹44 crores (Redington portion ₹22 crores) related to exit costs, and management expects “this loss to continue” with a turnaround only in FY28. - Unqualified audit opinions across all years with no fraud findings
Clean- The statutory auditor issued an unqualified opinion on standalone and consolidated financial statements for every year from FY2018-19 through FY2025-26. No fraud by or on the Company was noticed or reported under Section 143(12) in any year. Audit trail gaps identified in FY2023-24 across multiple systems and entities were fully remediated from FY2024-25 onward, with the auditor reporting the audit trail feature operated throughout the year for all relevant transactions with no instance of tampering.
What to watch
- Resolution of the FY2018-19 and FY2021-22 MAP proceedings. Final orders are awaited as of the FY2025-26 Annual Report.
- Outcome of the standalone income-tax demands. The Company is contesting the ₹233.66 crore (AY 2020-21) and ₹136.25 crore (AY 2021-22) demands before appellate authorities.
- Karnataka High Court proceedings on the ₹150 crore data-deletion claim. An interim stay is in place as of the FY2025-26 Annual Report.
- Potential further impairment of Arena’s remaining book value. Management flagged this risk in the Q4 FY26 earnings call if market corrections occur.
- Recovery of Saudi Arabia and India government receivables. One-off provisions were taken in FY26; management was unable to estimate timing of collections as of the Q4 FY26 call.
Bottom line: This is a disclosed and audited record with no promoter entrenchment and eight years of clean audit opinions. The risk sits in three places: the ₹940 crore-plus stack of tax and data-deletion claims where provisions cover only a fraction, the collapse in operating cash conversion that leaves dividends dependent on subsidiary flows and asset sales, and the escalating impairment cycle in Turkey that management itself warns may not be done. Watch the MAP final orders, the appellate outcomes on the standalone tax demands, and whether Arena’s book value holds.
