Refex Industries’ record is clean on its face, and a FY2026 CARO report that shows regular loan repayments. Four things deserve attention: the company is channelling over ₹2,010 crore in guarantees and loans into a promoter-linked wind subsidiary that had no operating history when the commitments began; a decade of reported profit has produced almost no cumulative operating cash; trade receivables and unbilled contract assets have swollen to ₹886 crore and ₹691 crore respectively; and promoter pledge has jumped from under 10% to over 41% in a single year.
Key findings
- A promoter-linked wind subsidiary with no operating history is seeking ₹2,010 crore in guarantees and loans
Major- The Board sought shareholder approval in March 2026 for material related-party transactions with Venwind Refex Power Limited (VRPL) aggregating ₹2,010 crore in FY27, of which ₹1,400 crore is a corporate guarantee, against VRPL’s FY25 total transactions of only ₹40.48 crore. VRPL was incorporated on 20 December 2024, and the April 2025 postal ballot notice stated its annual turnover was “Not applicable” for the FY26 RPT proposal of ₹1,860 crore. No guarantee commission is proposed to be charged to VRPL, and loans to VRPL are proposed to be unsecured. - A decade of profit has yielded almost no cumulative operating cash
Major- Cumulative operating cash flow over the ten years through FY26 was ₹27 crore against cumulative profit after tax of ₹744 crore, a CFO-to-PAT ratio of 0.04x. In FY25, standalone operating cash flow was negative ₹265 crore against a PAT of ₹180 crore. The Board recommended a final dividend of ₹1 per share for FY26 (cash outflow ₹13.72 crore) and declared an interim dividend of ₹0.50 per share in August 2025 (cash outflow ₹6.46 crore). - Receivables have ballooned to ₹886 crore and unbilled contract assets to ₹691 crore
Major- Consolidated trade receivables rose from ₹121 crore in FY2022 to ₹886 crore in FY2026, while unbilled contract assets increased from ₹147 crore in FY2025 to ₹691 crore in FY2026, primarily from the ash and coal handling segment where billing milestones have not been achieved. Receivable days reached 142 in FY2026, up from 109 in FY2025 and 81 in FY2024. Customer concentration exceeded 59% from a single counterparty in FY2023, then shifted to 37.61% in FY2024. - Promoter pledge surged from 9.8% to 41.3% in one year, and two KMPs are paid by the promoter entity
Major- Promoter pledge of shares rose from 9.76% one year ago to 41.28% as of the latest fiscal year. On 7 July 2026, promoter Refex Holding Private Limited created a fresh pledge of 35,00,000 shares for margin trading funding in favour of Axis Securities Limited, taking total encumbered shares to 24.61%. Mr. Dinesh Kumar Agarwal (Whole-time Director & CFO) and Mr. Ankit Poddar (Company Secretary) draw their remuneration from Refex Holding Private Limited, the promoter and holding company, rather than from Refex Industries Ltd. - Income-tax demands aggregate over ₹142 crore and GST demands exceed ₹50 crore, with no provisions recognised
Major- Income-tax demands across six assessment years aggregate ₹142.34 crore, all pending at CIT(A) or High Court except AY 2016-17 where the Madras High Court quashed the ₹35.67 crore assessment on 28 April 2026. GST demands across multiple states for FY2017-18 to FY2021-22 total over ₹50 crore in tax and penalties, all arising from allegations of ITC availed from suppliers with inactive or cancelled GSTINs. The company states that management believes the demands are likely to be deleted or substantially reduced and no provision has been recognised. - SEBI penalised the Chairman & MD ₹10 lakh for insider trading, and the Income Tax Department searched the group in December 2025
Major- SEBI imposed a penalty of ₹10,00,000 on Mr. Anil Jain (Promoter, Chairman & MD) on 12 December 2025 for communicating unpublished price-sensitive information and violating insider trading regulations in relation to trading that occurred in 2023. SAT granted a stay on recovery on 13 February 2026, subject to Mr. Anil Jain depositing 50% of the penalty amount within four weeks. Income Tax Department search and seizure operations were conducted at Refex group companies from 9 to 13 December 2025, and as of the FY2025-26 Annual Report, no final order had been received. - The group has layered new subsidiaries rapidly while a composite amalgamation scheme is pending before the NCLT
Minor- The number of direct and step-down subsidiaries grew from one dormant entity in FY21 to at least seven entities by FY26, including Refex Green Mobility Limited, Venwind Refex Power Limited, and Refex Mobility Limited. The Board approved a Composite Scheme of Amalgamation and Arrangement on 22 September 2025; the NCLT application was filed on 26 March 2026 and remains pending. The company stated in every annual report from FY21 to FY26 that it has no material subsidiaries under the Listing Regulations.
What to watch
- Realisation of the ₹691 crore unbilled contract asset balance and collection of the ₹886 crore trade receivable balance as at 31 March 2026.
- Final order from the Income Tax Department following the 9-13 December 2025 search operations, as of the FY2025-26 Annual Report, the matter was pending.
- SAT final adjudication of the SEBI insider trading penalty against Mr. Anil Jain, stay on recovery granted 13 February 2026, with 50% deposit condition.
Bottom line: This is a disclosed and audited record with a clean FY2026 CARO report. The risk sits in three places: the scale and speed of commitments to a promoter-linked wind subsidiary that had no operating history when the guarantees began, the persistent gap between reported profit and cash generation over a full decade, and the steep rise in receivables and unbilled contract assets that embed significant estimation risk. Watch whether the ₹1,400 crore corporate guarantee for VRPL is utilised, whether the ₹691 crore of unbilled contract assets convert to cash, and whether the promoter pledge unwinds as management has stated.
