Ravindra Energy's record carries seven straight years of unqualified audit opinions, and operating cash flow has backed reported profit in the last two years. But the clean opinions sit alongside the auditor's own disclosures of 100% on-demand related-party loans, a ₹1,300 crore approved limit and a ₹441 crore guarantee toward related party Energy In Motion Limited, whose standalone turnover was ₹52.19 lakh, and promoter pledges that nearly tripled in a year.

Major- The FY2025-26 consolidated auditor's report states 37 subsidiaries, 18 LLPs and 1 associate were not audited by the principal auditor, with combined total assets of ₹1,585.04 crore. The AOC-1 statement of subsidiaries in both the FY2025-26 and FY2024-25 annual reports contains no subsidiary names, capital, reserves, turnover, or profit/loss figures, the tables are effectively empty. The company divested its stake in 18 subsidiaries approved at an EGM on February 10, 2024, and sold a unit with turnover of ₹24.93 crore for NIL consideration on March 28, 2025. - Foreign subsidiary Renuka Energy Resource Holdings (FZE) impaired ₹179.88 crore, then wrote off ₹14.53 crore on liquidation

In FY2024-25, the company wrote off ₹14.53 crore of loan and investment on the subsidiary's voluntary liquidation, with a closure certificate dated 21 April 2025 from the Government of Sharjah, SAIF ZONE. - ₹125 crore perpetual debt, ₹54.75 crore CCDs, and a ₹100 crore Tata Capital loan kept off reported borrowings
Major- Ravindra Energy raised ₹125 crore of Unsecured Perpetual Debt in FY2020-21, presented as instruments entirely equity in nature, with interest waivable at the borrower's discretion. The company also issued ₹54.75 crore of Compulsorily Convertible Debentures in FY2020-21, converted into equity effective September 30, 2021, and a Tata Capital term loan of up to ₹100 crore under which the lender can appoint a nominee director upon an Event of Default. - Operating cash flow has backed reported profit in recent years

What to watch
- Tata Capital facility. Whether any Event of Default or nominee director appointment occurs under the ₹100 crore Rupee Term Loan facility, as disclosed in the AGM notice dated 6th Sep 2026.
- Restated results. The restated consolidated audited results for Q4 FY2025-26 and Q1 FY2026-27 were submitted on 14 Aug 2026, watch for subsequent auditor review and any further Ind AS 8 adjustments.
- Superseded audit report. The FY2025-26 Annual Report auditor's report dated 29 Apr 2026 was superseded by the restated report, watch for regulatory or auditor response to the retrospective restatement.
- EIM limit drawdown. Utilisation of the ₹1,000 crore corporate guarantee and ₹250 crore investment limits approved for Energy In Motion Limited, anchored to the FY2025-26 reporting period.
Bottom line: This is a record with real operating cash flow and clean audit opinions, but the clean opinions sit alongside the auditor's own disclosures of on-demand related-party loans, fund routing through a related party, and a restatement that added ₹20.53 crore to FY2026 revenue while reducing FY2026 net profit by ₹9.42 crore. The risk sits in the related-party web: a ₹1,300 crore approved limit for loans, guarantees, and security under Section 185, a ₹441 crore guarantee toward related party Energy In Motion Limited with negligible turnover, a subsidiary register left empty of names and figures, and promoter pledges that nearly tripled from 15.9% to 40.8%. Watch the AGM approvals, the Tata Capital facility, and whether the restated numbers hold.
