Rossell Techsys' record carries real stress beneath a growing top line: three years of deeply negative operating cash flow against positive profit, debt that has increased by about 53% on an adjusted basis, and a promoter holding that has remained steady at 74.80% over the past year. The company keeps paying dividends and is raising fresh capital while cash from operations stays negative. The structure itself is simple, one small US subsidiary, no off-balance-sheet vehicles, but the earnings quality and liquidity questions are the ones to weigh.
Key findings
- Operating cash flow is deeply negative while dividends and a QIP continue
Major- Cumulative operating cash flow over FY24-FY26 was negative ₹124 crore against cumulative PAT of ₹41 crore, a CFO/(PAT−other income) of -3.95x. CFO was ₹1.26 crore in FY24, negative ₹42.26 crore in FY25, and negative ₹82.80 crore in FY26. The Board recommended a final dividend of 15% (₹0.30 per share) on 11 May 2026, and the company is pursuing a QIP of up to 300 crore for capacity expansion and working capital. - Debt is on-balance-sheet but secured by the parent's tea estates, and adjusted net debt has increased significantly
Major- Adjusted net debt rose to ₹36,190.70 lakhs as at 31 March 2026 from ₹23,626.49 lakhs a year earlier, an increase of about 53%, with net debt to equity worsening to 2.34 from 1.77. Secured loans of ₹40,940.54 lakhs were backed by a first pari passu charge on Rossell India Limited's tea estates and the company's movable properties. India Ratings reported net leverage of 6.7x in FY25 and average working capital limit utilisation of 89.2% for the 12 months ended September 2025. - Revenue is concentrated in a few export customers, with Boeing at about 41% of FY25 revenue
Major- Top five customers contributed about 91% of consolidated revenue in FY25, with Boeing at about 41%, down from about 50% in FY24. Receivable days stood at 103 in FY24, 103 in FY25, and 87.64 in FY26. Management has started asking for advance and upfront payments for long-lead items, with some customers agreeing. - Demerger accounting restated history from April 2023, and the transition from Rossell India remains incomplete
Minor- The Rossell Techsys Division was demerged from Rossell India and vested at book values retrospectively from 1 April 2023, sanctioned by NCLT on 25 April 2024. Title deeds for transferred immovable properties were still held in Rossell India's name as at the FY2025-26 reporting date. The company booked an exceptional cost of ₹1.02 crore for past-period employee benefits arising from four new Labour Codes notified on 21 November 2025. - The group structure is simple, one small, unaudited US subsidiary, but its financials lack independent audit
Minor- Rossell Techsys has exactly one subsidiary, Rossell Techsys Inc. (Tempe, Arizona), 100% held, with no associates or joint ventures. The subsidiary's financials were prepared under local GAAP and converted to Ind AS by management; the auditor reviewed only the conversion adjustments. The auditor deemed the unaudited figures "not material to the Group" and did not modify the opinion. - Statutory auditor was re-appointed for five years in September 2025 after a prior-year resignation
Minor- Shareholders approved the reappointment of Raghavan, Chaudhuri & Narayanan at the AGM held 24 September 2025 for five years, until the AGM in FY2030. The CARO report for FY2024-25 states the statutory auditors resigned during the year and that no issues were raised by the outgoing auditors. No payments were made to any network entity of the auditor during FY2025-26.
What to watch
- Final dividend payment. ₹0.30 per share, due on or before 23 October 2026, subject to shareholder approval.
- FY2026-27 annual results. To show whether CFO turns positive after three years of negative or negligible operating cash flow.
- Boeing programme contribution. Ind-Ra expects peak contribution from one programme will not exceed 10% of revenue in FY26 and FY27 quarters.
- Title deed registration. Pending for immovable properties transferred under the demerger, as at the FY2025-26 reporting date.
Bottom line: This is a disclosed, audited record with a simple group structure and no off-balance-sheet vehicles. The risk is concentrated in cash generation: operating cash flow has been negative for three straight years while debt, leverage, and promoter exits have all moved in the wrong direction. Watch whether the QIP closes, whether the dividend is paid, and whether CFO turns positive in the FY2026-27 results.
