Satin Creditcare's record shows six years of unqualified audit opinions and a growing loan book, but reported profit has not converted to cash in four of the last five years. Three things deserve attention: operating cash flow has been deeply negative while the company has repeatedly tapped equity markets to fund itself; loan portfolio sales generate gains and provision reversals that flow through the income statement; and a dense web of promoter-group transactions sits alongside a preferential warrant issue that will lift promoter holding.
Key findings
- Loan portfolio sales generate gains and ECL reversals that flow through the income statement
Major- Revenue grew from ₹1,376 crore in FY21 to ₹3,143 crore in FY26, while the ratio of operating cash flow to profit after tax stayed negative at -2.93x in FY26, -3.03x in FY25, -4.75x in FY24, and -198.82x in FY23. The company assigned and derecognised loan portfolios of ₹2,930.9 crore in FY24 and ₹2,665.72 crore in FY23. In FY22, NPA loans were sold with a profit of 209.81 crore, which excluded an ECL provision of ₹20.98 crore reversed on account of the sale; in FY23, ECL provision of ₹35.55 crore was reversed on sale. - Securitisation with retained first-loss guarantees keeps loan assets and borrowings on the balance sheet
Major- The company retained first-loss default guarantees ranging from 11% to 22% of the amount securitised in FY2025-26, preventing derecognition of the loan assets and requiring the proceeds to be presented as borrowings. Securitisation volumes grew from ₹715.42 crore in FY2021-22 to ₹1,620.26 crore in FY2025-26. Borrowings guaranteed by directors in their personal capacity on a standalone basis rose from ₹1,490.59 crore as of March 31, 2025 to ₹1,975.84 crore as of March 31, 2026. - Promoter-group entities and subsidiaries form a dense web of intercorporate loans, guarantees, and capital infusions
Major- The Board on June 4, 2026 approved a preferential allotment of up to 38,50,000 fully convertible warrants at ₹260 each, aggregating up to ₹100.10 crore, to promoter-group entity Trishashna Holdings & Investments Private Limited. Chairman cum Managing Director Harvinder Pal Singh provided personal guarantees of ₹1,000 crore outstanding as of March 31, 2024, and the company states in every annual report from FY21 through FY26 that no material related party transactions were entered into as defined under Section 188/Regulation 23 and that Form AOC-2 is not applicable. - Promoter MD's remuneration surged 167% in FY25 and is proposed to rise another 19% in FY27
Major- Dr Harvinder Pal Singh's remuneration increased 167.07% in FY2024-25 versus the prior year, while the average increase for all other employees was 9.6%. Four Non-Executive Independent Directors ceased on September 4, 2024 upon completion of two consecutive 5-year terms, and a fifth Independent Director resigned effective June 27, 2025. - Two statutory auditor changes in four years, with no reported disputes
Minor- Walker Chandiok & Co LLP resigned effective from the 31st AGM on August 11, 2021 because an RBI circular dated April 27, 2021 made them ineligible to continue. S S Kothari Mehta & Co. LLP completed their three-year term and were replaced by J C Bhalla & Co. at the 34th AGM on August 9, 2024. Secretarial auditor S. What to watch
- MD remuneration vote. Shareholder vote on the proposed revision in Dr Harvinder Pal Singh's remuneration from ₹29,48,000 to ₹35,00,000 per month, as set out in the AGM notice for FY2025-26.
- AIF fund operations. Satin Growth Alternatives Ltd received its SEBI Cat II AIF licence on April 13, 2026 and signed an MoU with SBI for co-investment; commencement of fund operations and capital deployment is pending.
- Income tax appeals. Resolution of pending income tax appeals before CIT(A) for AY 2018-19, AY 2020-21, and AY 2021-22, with no scheduled hearing dates disclosed in the FY2025-26 Annual Report.
Bottom line: This is a disclosed and audited record. The risk sits in the gap between reported profit and cash: operating cash flow has been deeply negative for four of five years, loan portfolio sales contribute gains and provision reversals that flow through the income statement, and the company has repeatedly turned to equity markets to fund itself. Read the cash flow statement with that in mind, and watch whether the preferential warrant allotment and the proposed MD remuneration increase clear shareholder votes.
