Sayaji Hotels Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Sayaji Hotels' audit record is clean on its face: seven consecutive years of unqualified opinions, no Key Audit Matters, and no fraud reports. The economic record tells a different story. Promoter-linked deposits, loans and guarantees sit alongside blanket denials of material related-party transactions, and reported profit in FY2026 leans on an ₹11.12 crore gain from cancelling a related-party lease.

Key findings

  1. Promoter-linked deposits and guarantees sit beside blanket denials of material RPTs Major - As at 31 March 2025, Sayaji Hotels held deposits of ₹9.22 crore with Prinite Hospitality and ₹1.25 crore with Vicon Imperial, both enterprises where key managerial personnel have control or interest. On 25 June 2026, the Board approved a ₹50 crore corporate guarantee for a loan to VICON Imperial, a group company 51% held by some promoters. The FY2025-26 Board's Report nonetheless states that no materially significant related-party transactions with promoters, directors or key managerial personnel occurred.
  2. A decade of SEBI penalties sits behind a clean disclosure Major - SEBI imposed a ₹7.12 crore penalty on Sayaji Hotels in September 2017, which the company paid that November. Promoter settlements and penalties include ₹3.52 crore in September 2019 and ₹0.16 crore on Raoof Dhanani in February 2018. A separate ₹8.14 crore settlement order dated October 2017 related to Liberty Phosphate Limited and its directors/officers, including Raoof Dhanani, not to Sayaji Hotels. The FY2025-26 Corporate Governance report states no penalties or strictures were imposed by SEBI or stock exchanges in the last three years.
  3. A multi-year stack of disputed tax and lease litigation remains open Major - The Indore Development Authority cancelled the lease of the Indore hotel land on 20 December 2017, and the High Court admitted the company's Writ Appeal on 8 March 2022 with the compounding order still awaited as of FY2022-23. The leasehold land carried a value of ₹22.92 crore in the FY2022 and FY2023 CARO title-deeds clauses. A disputed income-tax liability of ₹3.52 crore for FY2012-13 has sat before the Supreme Court since FY2023-24.
  4. Subsidiary structure has been repeatedly reshaped through promoter-side deals Major - Sayaji Hotels Management invested ₹2.26 crore in Intellistay Hotels in August 2021 for a 48.5% stake, then wrote the investment off after citing misrepresentation by Intellistay officials. The company sold its 51.67% stake in Malwa Hospitality to promoters and relatives on 31 March 2021 for ₹6.89 crore at ₹10 per share. The 26% stake in SRSB Infrastructure is classified as a financial asset at fair value through profit or loss, not under the equity method, because the October 2025 shareholders' agreement gives the company no board appointment rights.
  5. Reported profit leans on a related-party lease cancellation gain Major - Sayaji Hotels recognised a one-off net gain of ₹11.12 crore as an Exceptional Item on 31 March 2026 from terminating its Raipur hotel lease with a related-party lessor before expiry. The Baroda lease expired on 31 October 2025 and was replaced by a hotel management agreement with the same related-party owner, so FY2025-26 revenue and expense figures are not strictly comparable with the prior period. The NCLT-sanctioned scheme of July 2023 also made the March 2024 balance sheet and cash flow statement non-comparable with the previous year.
  6. Promoter family holds overlapping board seats and votes its own pay Major - Raoof Dhanani's Managing Director remuneration rose from ₹12.50 lakh per month to ₹25 lakh per month in October 2022, then to ₹3.50 crore per annum in September 2024. In the 30 July 2026 postal ballot on remuneration for Saba and Sumera Dhanani, the promoter group cast 4,481,054 votes, all in favour, representing 90.2% of all votes cast. The remuneration ratio of the Managing Director to median employee was 155.96 times in FY2023-24.
  7. Cash generation is volatile and disconnected from profit Minor - Operating cash flow was ₹44.05 crore against a net loss of ₹6.32 crore in FY2025-26, ₹28.13 crore against profit of ₹2.08 crore in FY2024-25, and ₹47.31 crore against profit of ₹14.34 crore in FY2023-24. No equity dividend has been proposed for seven straight years through FY2025-26. Yet Sayaji Housekeeping Services, a wholly owned subsidiary, upstreamed ₹24.25 crore in dividends to the parent in FY2022.

What to watch

Bottom line: This is a company whose audit record is clean but whose economic relationships are not. The pattern is consistent: promoter-linked entities appear on both sides of deposits, guarantees, leases and asset sales, while the filings deny material related-party transactions and the promoter group votes its own pay and borrowing limits. The risk is not hidden fraud but structural opacity, where the reader must assemble the related-party picture from scattered disclosures. Watch the Indore lease outcome and the related-party lease cancellation gain first.
