Senco Gold Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Senco Gold’s record shows five years of unqualified audit opinions and a statutory auditor re-appointed for a second term. Two things dominate the picture: operating cash flow has been negative for five straight years while reported profit stayed positive, and management expects that drain to continue for at least one to two more years. A ₹2.68 crore employee stock misappropriation was reported and partially recovered, and a recurring audit-trail limitation persists across all three years.

Key findings

  1. Operating cash flow has been deeply negative for five years while profit stays positive Major - Cumulative operating cash flow over FY21-FY26 was negative ₹1,000 crore against cumulative reported profit of ₹1,264 crore. Free cash flow was negative in every year from FY22 through FY26, including negative ₹843 crore in FY26 alone. The CFO stated in the Q4 FY26 earnings call that free cash flows are not expected to turn positive in the next 1-2 years and that giving guidance on when they might turn positive “does not seem to be easy”.
  2. A ₹2.68 crore employee stock misappropriation was reported, and an audit-trail limitation recurs across three years Minor - In FY2024-25, the auditor reported one instance of stock misappropriation by an employee aggregating ₹2.68 crore, of which ₹0.59 crore was recovered, and filed Form ADT-4 with the Central Government. For FY2023-24 through FY2025-26, the auditor was unable to comment on whether the audit trail operated at the database level or was tampered with, because the third-party software provider did not furnish an Independent Service Auditor’s Assurance Report. Two subsidiaries with total assets of ₹338.88 crore are audited by other firms, and the consolidated opinion relies solely on those auditors’ reports.
  3. Promoter family holds three executive board seats with interlocking relationships and rising remuneration Minor - The three executive directors, Suvankar Sen (MD & CEO), his mother Ranjana Sen (Chairperson & Whole-Time Director), and his wife Joita Sen (Whole-Time Director), are all members of the promoter family. Suvankar Sen’s remuneration ratio to median employee pay was 96.87:1 in FY2023-24 and 95.32:1 in FY2024-25. A fresh grant of 3,25,000 stock options was approved on 18 March 2025, while cumulative operating cash flow over the preceding four years was negative ₹392 crore.
  4. Two legacy tax disputes totalling ₹18.01 crore remain unresolved, with a criminal complaint pending Minor - An income-tax demand of ₹7.46 crore from a November 2017 search-and-seizure operation remains under appeal, with no provision made in FY2024, FY2025, or FY2026. A criminal complaint under Section 277A of the Income Tax Act has been filed against the company and some KMP in connection with that matter. An excise duty demand of ₹10.55 crore, including penalty of ₹8.96 crore, for excess CENVAT credit in FY2016-17 also remains under appeal before CESTAT, Kolkata, with no provision made across the same three years.
  5. The group has expanded to three wholly owned subsidiaries, and a 68% acquisition of Melorra is underway with a disclosed promoter creditor interest Minor - The group had two wholly owned subsidiaries as of 31 March 2024; a third, Sennes Fashion Limited, was incorporated on 7 September 2024. The two older subsidiaries turned profitable in FY26 after cumulative prior losses, while Sennes Fashion reported a net loss of ₹8.34 crore in FY26. The Board approved an investment on 21 January 2026 to acquire 68% of August Jewellery Private Limited (brand “Melorra”), with the promoter group disclosed as a creditor of that entity.
  6. Minor regulatory penalties accumulated across tax, legal metrology, and stock-exchange compliance over FY24-FY26 Minor - Penalties included a compounding charge of ₹3,86,201 for delayed TDS deposit in FY2015-16, fines of ₹18,000 and ₹30,000 for unverified weighing machines, and a ₹45,000 compounding fee for non-disclosure of declarations on packages. NSE and BSE each imposed a fine of ₹11,800 for a one-working-day delay in filing the XBRL Scrutinizer Report for the AGM held on 13 September 2024. The Board’s Report for FY26 states no significant or material orders were passed by regulators or courts impacting going concern.
  7. Statutory auditor Walker Chandiok & Co LLP was re-appointed for a second five-year term with no resignations Clean - Walker Chandiok & Co LLP has been the statutory auditor since at least 30 August 2019 and was re-appointed for a second consecutive five-year term through the 35th AGM in 2029. Consolidated audit fees were ₹0.78 crore in FY2023-24, ₹1.68 crore in FY2024-25, and ₹0.97 crore in FY2025-26; the FY25 spike included ₹0.71 crore for QIP-related deliverables adjusted against securities premium, which was paid during the previous year ended 31 March 2025.

What to watch

Bottom line: This is a disclosed and audited record with a stable auditor and no material regulatory orders affecting going concern. The defining feature is a five-year cash-flow deficit that management itself says will not reverse for at least one to two more years, while profit, dividends, and ESOP grants continue. Watch the Melorra acquisition closing, the two legacy tax appeals, and whether FY27 revenue and margin land within the guided range.
