Standard Engineering Technology has reported five straight years of profit, yet those profits have not shown up in operating cash, and the group has built a dense web of financing that ties subsidiaries, promoters and bank facilities together. The audit opinions are clean, but the cash conversion, the related-party structures, and a sudden jump in promoter pledging are the things to understand before relying on the reported earnings.
Key findings
- Five years of profit have not converted into operating cash
Major- Cumulative operating cash flow over FY22-FY26 was negative ₹20 crore against cumulative profit of ₹290 crore, a shortfall that persists even after stripping out ₹41 crore of other income. FY24 was the worst year, with CFO of negative ₹65.03 crore against PAT of ₹60.01 crore, and FY25 free cash flow was negative ₹22.27 crore. Receivable days rose from 104 in FY24 to 127 in FY25, and the MD told investors working capital days were coming down from 320 to below 200. - A dense web of intra-group financing, with bank security sitting in a promoter entity's name
Major- The company lent ₹73.14 crore to subsidiary S2 Engineering Industry at 8.5% for five years, and invested ₹40.98 crore in 0.01% Optionally Convertible Debentures of the same subsidiary, plus ₹27 crore in OCDs of Standard Flora. All of the company's bank facilities are secured by a charge on a Nacharam plot registered in the name of S2 Engineering Services, a promoter entity, and guaranteed by that entity and six directors. The Board's Report for FY2025-26 states there were no contracts not at arm's length during the year. - Promoter pledging went from zero to 21.4% of share capital in one year
Major- Promoter pledges stood at 21.38% of share capital as of the latest reporting period, against 0.00% a year earlier. On January 9, 2026, promoter Ramakrishna Kandula pledged 37,21,804 shares for personal borrowing across Tata Capital, SMFG India Credit and Bajaj Finance. On March 28, 2026, a pledge of 5,50,000 shares was created in favour of SMFG India Credit solely to cover a margin shortfall, with promoters not entitled to receive any amount. - Reported debt-to-equity of 0.09x leaves out debt-like obligations
Major- The reported ratio excludes ₹6 crore of 0.01% OCDs issued by two subsidiaries, treated as related-party loans with fair-value adjustments. Lease liabilities carry effective interest rates of 7.58% to 8.47%, with total cash outflows of ₹8.49 crore in FY2025-26. All bank facilities remain secured by charges on assets registered in the name of related party S2 Engineering Services. - Rapid expansion through new and acquired subsidiaries, with promoter-family entities in the chain
Major- The company incorporated Standard Projects Private Limited on May 12, 2026, and acquired 51% of Standard Scigenics and Standard C2C Engineering in late 2025. On June 25, 2026, the Board approved acquiring up to 51% of GScale Energy, a company with nil turnover in each of the last three years. The MD's brother sits as Managing Director of a wholly owned subsidiary and Director of the material subsidiary S2 Engineering Industry. - Revenue recognition is a standing audit focus, and receivables keep absorbing cash
Major- The auditor named revenue recognition on contracts with customers as the sole Key Audit Matter in both the FY2024-25 consolidated and standalone audits, citing the risk of revenue recognised before control transfers. Receivable days rose from 104 in FY24 to 127 in FY25 and 120 in FY26. The group's operating cycle is identified as twelve months. - Audit opinions are clean, with two recurring exceptions
Minor- M S K A & Associates issued unqualified opinions on both standalone and consolidated FY2026 financials. The FY2026 standalone report notes the accounting software has an audit trail feature, but it was not enabled at the database level to log direct data changes. CARO reports in both FY2025 and FY2026 carry a single exception: title deeds of one immovable property are not held in the company's name. - Auditor continuity is routine, with a second term and no churn
Clean- M S K A & Associates LLP was re-appointed for a second five-year term at ₹27,00,000 per year, subject to members' approval. CARO for FY2024-25 states no resignation of statutory auditors during the year. The firm has been registered with ICAI and US PCAOB since 1978, with offices across 12 Indian cities.
What to watch
- GScale Energy acquisition. Board approved up to 51% on June 25, 2026; pending as of the FY2025-26 report date.
- GL HAKKO investment. Board approved a phased investment on July 6, 2026, subject to FEFTA approval in Japan, with completion expected within 30 days of that date.
- Working capital days. MD stated days would come down to below 200 by the September 2026 result.
- Section 74 penalty appeal. Company stated on 30 March 2026 it would file an appeal within prescribed timelines.
- Monitoring agency. Acuité Ratings appointed on 17 July 2026 for a preferential issue exceeding ₹100 crore under SEBI ICDR Regulations.
Bottom line: This is an audited record with clean opinions and a stable auditor, but the cash conversion is the central problem: five years of profit have produced negative operating cash, and receivables keep growing. The risk sits in the group's structure, subsidiary financing, promoter guarantees, and security held in a promoter entity's name, and in the sudden pledge of 21.4% of share capital for personal borrowings. Watch the working capital trend and the pending acquisitions, and read the receivables line with the cash conversion in mind.
