Shyam Metalics & Energy presents a record of unqualified audits and operating cash flow that has outpaced reported profit for five straight years. Two things cut against that picture: a ₹152 crore ED attachment under money-laundering law at its main subsidiary, and a pattern of control exceptions that the auditor has flagged year after year without resolution.
Key findings
- A subsidiary faces a ₹152 crore ED attachment under PMLA
Major- On 15 April 2026 the Directorate of Enforcement issued a Provisional Attachment Order totalling ₹159.51 crore, of which ₹152.48 crore in corporate bonds and alternative investment funds held by wholly owned subsidiary Shyam SEL and Power Limited was provisionally attached for 180 days, citing alleged purchase of illegally excavated coal from Eastern Coalfields Limited. The company states no linkage has been established, it is taking legal recourse, and the attached investments represent 1.44% of consolidated net worth as at 31 March 2025. The consolidated audit report for FY2025-26 carries an Emphasis of Matter regarding the attachment. - Audit opinions are unqualified, but five control exceptions recur without resolution
Major- The standalone and consolidated audit opinions were unqualified in every year from FY2020-21 through FY2025-26. Yet the auditor was unable to comment whether backup of electronic books was kept on servers physically located in India on a daily basis for 1 January 2026 to 31 March 2026 for the standalone entity, and the same exception applied to the holding company and five subsidiaries on the consolidated audit. The standalone audit trail was not enabled at the database level for one accounting software, and for a second software managed by a third party the auditor could not verify whether the audit trail operated from 1 January 2026 to 31 March 2026 due to insufficient SOC report coverage. The standalone entity did not file the quarterly bank return for the quarter ended 31 March in FY2025-26, FY2024-25, and FY2023-24 as of the respective audit report dates. The auditor was unable to obtain some internal audit reports for the quarter ended 31 March in FY2025-26, FY2024-25, and FY2023-24. One freehold land title deed is not held in the company's name but in the name of Bhagwan Shaw, erstwhile director of the company till 9 November 2022, as reported in FY2024-25 and FY2023-24. - A family-controlled board approved steep pay rises for next-generation members, while promoters sold shares in 2023
Minor- Promoters held 74.59% of the company as of March 2026, unchanged from the prior year, with zero shares pledged at any point across FY2021-FY2026. Mr. Sheetij Agarwal, son of the Chairman & MD and grandson of the Chairman, was appointed Whole-time Director on 10 November 2023 at age 25 with annual remuneration of ₹60 lakh to ₹2 crore plus variable incentive up to ₹1 crore; on 23 December 2025 shareholders approved a revision to ₹2 crore to ₹5 crore per annum effective 1 April 2026. The resolution drew 7.33% votes against from public shareholders, with public non-institutions voting 52.56% against and public institutions voting 33.49% against. Promoter entities Subham Buildwell Private Limited and Narantak Dealcomm Limited sold a combined 1,60,86,957 shares (6.31% of voting capital) on 11-14 September 2023, with total promoter disposals flagged at ₹748 crore across five events. - The group has expanded through distressed-asset acquisitions and internal restructuring, while a Dubai entity that never traded is being liquidated
Minor- As of 31 March 2026, the group comprised 11 step-down subsidiaries, 3 associates, and 2 joint ventures, with Shyam SEL and Power Limited (SSPL) as the material wholly owned subsidiary. SSPL acquired Mittal Corp Limited via an NCLT resolution plan; the plan was approved by the CoC by 100% votes and a Letter of Intent was issued on 24 February 2023. The Board approved the voluntary liquidation of Shyam Metalics International DMCC (Dubai, UAE), a wholly owned subsidiary of SSPL, on 24 January 2026; the entity had nil turnover, nil revenue, and nil net worth and never commenced operations. An application was filed with NCLT Kolkata on 3 November 2025 seeking approval for the amalgamation of step-down subsidiary Shree Venkateshwara Electrocast Private Limited into SSPL. - Statutory auditor resigned mid-tenure in FY2024 and was replaced by a larger firm; no adverse reasons were cited
Minor- M/s. S K Agrawal & Co. Chartered Accountants LLP resigned on 27 July 2023, stating the reason as "the Company wants to appoint one of the large audit firms as Statutory Auditors". The outgoing auditor's resignation letter raised no issues, objections, or concerns, per the incoming auditor's CARO report for FY2023-24. M/s. MSKA & Associates was appointed as the new statutory auditor on 28 July 2023 for a 5-year term. - Revenue recognition has been a recurring Key Audit Matter, while receivables reconciliation mismatches flagged in FY22 remain unresolved
Minor- The auditor identified revenue from sale of goods as a Key Audit Matter, an area requiring the most judgement, in both standalone and consolidated financial statements for FY2022-23, citing complexity in determining sales revenue under Ind AS 115, particularly regarding timing of control transfer, rebates and discounts, and incoterms. The FY2021-22 standalone and consolidated financial statements each disclosed that there are parties from whom the company has receivables and there is a mismatch in reconciliation of such receivables which is under review.
What to watch
- ED attachment resolution. Resolution of Provisional Attachment Order No. 23/2026 against SSPL, with the 180-day attachment expiring in October 2026.
- ₹4,500 crore fund-raise deployment. Deployment of the proposed fund-raise approved by the Board on 20 July 2026, and whether incremental debt stays within the 0.5x D/E ceiling as capex scales.
- Title deed transfer. Completion of the sale deed transfer for the freehold land still held in the name of Bhagwan Shaw, erstwhile director till 9 November 2022.
- Internal audit reports. Availability of internal audit reports for the quarter ended 31 March 2026, which the auditor was unable to obtain as of the FY2025-26 audit report date.
Bottom line: This is a disclosed and audited record with genuine cash generation and zero promoter pledges. The risk sits in two places: an unresolved money-laundering attachment at the main subsidiary that the company calls immaterial but the auditor calls out by name, and a set of control gaps, unfiled bank returns, missing internal audit reports, a title deed in a former director's name, that have survived three audit cycles without correction. Watch the October 2026 attachment deadline and whether the quarterly bank return gets filed.
