SignatureGlobal's FY2025-26 results carry a clean audit opinion, but the profit that drove them is not cash-backed and not yet realised. A ₹1,214 crore fair-value gain on a stake sale where the company kept joint control produced most of the reported profit, while operating cash flow covered only a tenth of it. The balance sheet's "historic low" net debt excludes ₹1,141 crore of restricted deposits and ₹215 crore of pledged deposits, and the auditor has flagged gaps in database-level audit trails in FY2025-26.
Key findings
- A ₹1,214 crore fair-value gain drove profit while standalone operations lost money
Major- Consolidated PAT surged to ₹1,094.64 crore in FY2025-26 from ₹101.21 crore in FY2024-25, driven primarily by gains from the JV partnership with Millennia Realtors (RMZ) in Gurugram Commercity Ltd. On selling a partial stake, the previously held interest was remeasured at a fair value of ₹1,293.47 crore, producing a ₹1,214 crore exceptional gain, with a ₹173.6 crore deferred tax liability recognised. Consolidated PAT was ₹1,044 crore versus a standalone loss of ₹-22 crore, placing 102% of profit at subsidiaries. - Operating cash flow collapsed to 0.11x profit while the company plans heavy land capex
Major- Other income of ₹1,477 crore equalled 118.8% of PBT of ₹1,243 crore in the latest year. CFO/PAT fell from 4.95x in FY25 to 0.11x in FY26, with CFO of ₹126 crore against PAT of ₹1,095 crore. The CEO guided land capex of "around Rs. 1,500-Rs. 1,800 odd crores" for FY27. - The "historic low" net debt of ₹200 crore excludes ₹1,141 crore of restricted deposits and ₹215 crore of pledged deposits
Major- Net debt fell to a stated "historic low" of ₹200 crore at 31 March 2026, while cash and cash equivalents stood at ₹2,770 crore. Consolidated deposits/bank balances of ₹1,141.08 crore were held with banks/financial institutions for debt service reserve, bank guarantee security, and RERA escrow. Standalone deposits of ₹215.16 crore were similarly held for those purposes, and inventories are pledged as security against borrowings of Sarvpriya Securities Private Limited, an entity in which KMPs and their close relatives are interested. - Three clean audit opinions, but the auditor could not verify database-level audit trails and did not audit 9 subsidiaries
Major- Walker Chandiok & Co LLP issued unqualified opinions on both standalone and consolidated statements for FY2023-24, FY2024-25, and FY2025-26. The FY2025-26 notes disclose that audit trail logs for direct database-level changes in customer/channel partner master software were "retained only six months... not preserved per statutory record retention requirements". The consolidated auditor's report states Walker Chandiok did not audit 9 subsidiaries with total assets of ₹3,260.9 crore and total revenues of ₹972.68 crore. - Revenue recognition is back-end loaded, with ₹26,909 crore of unrecognised performance obligations
Major- Consolidated transaction price of remaining performance obligations stood at ₹26,909.2 crore as at 31 March 2026, up from ₹21,022.49 crore a year earlier. The CEO stated that average revenue recognised on inventory completed in Q1 FY27 was "less than 6000" per square foot versus current selling realisation of \~₹17,000 per square foot, saying "the P&L is not fully reflective of the current position". Revenue is recognised at a point in time only when an offer for possession is issued and substantial consideration is received. - Four promoter brothers set their own pay at ₹2.40 crore each despite inadequate statutory profits
Major- The four brothers each received salary of ₹2,40,00,000 per annum for the tenure 15 February 2025 to 14 February 2027. The company's profits computed under Section 198 were inadequate for the proposed remuneration, and the AGM notice states minimum remuneration would be payable per Schedule V. The ratio of each director's remuneration to median employee remuneration was 2658% in FY2026. - Walker Chandiok resigned from three material subsidiaries in August 2026, citing alignment with the new group auditor
Major- On 12 August 2026, Walker Chandiok & Co LLP resigned as statutory auditor of Signature Infrabuild Limited, Signatureglobal Homes Limited, and Sternal Buildcon Limited, citing management's intention to align with the auditors of the holding company. The Board on 13 May 2026 approved appointment of M/s S. N. Dhawan & Co LLP for a first term of 5 years. Proposed audit fees for FY2026-27 are ₹84,50,000 excluding taxes.
What to watch
- Section 185 Special Resolution vote. Shareholders vote on permitting loans/guarantees/security up to ₹1,000 crore to related entities at the 27th AGM convened by the notice dated 2 September 2026.
- Auditor appointment. Outcome of Item 3 at the 27th AGM (scheduled 2 September 2026) regarding appointment of S. N. Dhawan & Co LLP.
- GCL JV first full year. Whether the ₹1,214 crore fair-value gain is realised or reversed in the FY2026-27 Annual Report.
- CEO's revenue guidance. Whether the projected ₹5,000+ crore revenue recognition and "very good PAT number" materialise in FY2026-27.
Bottom line: This is a company with a clean audit opinion and a genuinely lower debt number, but the profit that produced that picture is a fair-value gain on a deal where control was retained, and the cash to back it has not yet arrived. The risk is concentrated in three places: the gap between reported profit and operating cash flow, the encumbered deposits and pledges that sit outside the net-debt figure, and a related-party structure involving pledged inventories. Watch the GCL joint venture's first full year, the CEO's revenue guidance, and the shareholder votes at the 27th AGM.
