Simca Advertising's record shows a four-fold revenue surge, but the cash behind that growth is thin, and the auditor's clean report does not flag it. The company also routes most of its largest client relationship through assets it does not own, and pays a promoter-linked firm at cost.
Key findings
- Revenue grew sharply but cash conversion lags, and management's own statements conflict
Major- Cumulative operating cash flow was ₹16 crore against cumulative profit of ₹34 crore over FY23-FY26, a 0.48x conversion. Revenue rose from ₹11.96 crore in FY23 to ₹127 crore in FY26. On the Q4 FY26 call, management could not provide the FY26 operating cash flow figure when asked, and gave inconsistent statements on receivables age and concentration. - Largest client runs mostly through assets Simca does not own; promoter-linked firm paid at cost
Major- Of the ₹40 crore SBI business signed for FY26-27, only ₹2 crore uses Simca's own assets. Management confirmed a related company bills Simca and is paid "only the exact amount that we have to pay". The auditor's CARO report notes a ₹1.5 crore investment in Capital World Media Services under an agreement dated 15 May 2025. - Clean audit opinion with no Key Audit Matters despite weak cash conversion
Major- The auditor, F.A. Ansari & Associates, issued an unqualified opinion for FY26 with no Key Audit Matters and no Emphasis of Matter paragraphs. This follows a four-year pattern where annual CFO/PAT ranged from 0.03x in FY23 to 0.63x in FY26. - Promoter stake stable and unpledged, but documentation lapses and two senior exits
Minor- Promoter shareholding stood at 73.50% with zero pledge as of the latest fiscal year. Fahim Batliwala's DIN appears as 07559537 on the balance sheet and cash flow statement but as 07559532 on the P&L statement. The Vice President - Marketing resigned effective 04-06-2026, and an Independent Director resigned effective 25-07-2026. - Auditor's report has inconsistent registration numbers and UDINs
Minor- The firm registration number appears as 100504W on one page and 103540W on another. The UDIN also differs across three pages of the same report. The report title refers to "HALF YEALY AND ANNUAL FINANCIAL STATEMENTS".
What to watch
- Related-party payment reduction. Management said payments will reduce from June onwards as sites are converted, per the Q4 FY26 transcript (Mar 2026).
- Independent Director replacement. Ms. Seema Agarwal resigned effective 25-07-2026; her successor on the board and Audit Committee is pending.
- Marketing leadership succession. The Vice President - Marketing position has been vacant since 04-06-2026.
Bottom line: This is a fast-growing company with a stable, unpledged promoter base and a clean audit opinion. The risk is that reported profit has not turned into cash at anything close to the same rate, and the auditor's report does not acknowledge that pattern. Watch whether the related-party payments actually shrink, and whether the cash conversion improves as revenue growth continues.
