Savita Oil Technologies’ record is disclosed and conservatively financed: six years of unqualified audit opinions, zero debt, and a promoter stake of 68.93% with no pledge. Three things deserve attention. Operating cash flow has covered only half of cumulative EBITDA over a decade, even as dividends and buybacks returned cash to shareholders. The core petroleum segment’s margin has halved, and top customer receivables concentration rose to ₹265 crore, reversing a prior decline.
Key findings

Mehra, who is proposed for appointment as Joint Managing Director from 1 October 2026. Total KMP remuneration increased 9.25% from ₹11.39 crore in FY2024-25 to ₹12.44 crore in FY2025-26, while net profit rose from ₹123.77 crore to ₹193.85 crore. What to watch
- Completion of the Savita GreenTec merger. The Board approved the scheme on 7 May 2026, subject to regulatory and shareholder approvals.
- Resolution of Income Tax demands for AY 2017-18. The matter is pending before the Income Tax Appellate Tribunal, Mumbai, as of the FY2023-24 Annual Report.
Bottom line: This is a debt-free, promoter-held company with a clean audit trail and zero pledge. The character of the risk is slow-burn: cash conversion has been weak for a decade, the core business is earning thinner margins on rising sales, and tax disputes have multiplied. The dormant subsidiary is being wound up, and the board transitions are orderly. Watch the margin trend in petroleum products and whether the investment properties are revalued on schedule.
