The FY2023-24 Corporate Governance report had stated no penalties or strictures were imposed during the last 3 financial years.

What to watch

Bottom line: This is a growing business with improving returns and fully secured borrowings, but the cash story is the weak link: operating cash flow has covered only 0.38x of cumulative EBITDA over the past decade, and promoters who control 65.94% of the company have been selling shares while raising their own pay. The risk sits in related-party flows and unaudited Omani ventures that have yet to repatriate any cash. Watch the warrant conversion deadline and whether the promised JV dividends finally arrive.
