Spectrum Talent Management Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Spectrum Talent Management’s audit record is clean on its face, unqualified opinions in each of the last three years, but the underlying record-keeping and cash conversion carry recurring exceptions. The most material issue is a ₹28.83 crore GST penalty, roughly 2.4 times annual profit, that remains unresolved on appeal, and the group’s largest acquisition to date runs through unaudited subsidiaries.

Key findings

  1. A ₹28.83 crore GST penalty remains unresolved on appeal, and a separate inquiry forced a ₹1.6 crore deposit Major - The CGST Commissionerate imposed a ₹28.83 crore penalty on manpower services provided to HDFC Ergo for July 2017-March 2023, which the company contested in appeal. The same amount stayed an unchanged contingent liability of 28.83 crore as at 31 March 2026. A separate GST inquiry during FY2025-26 led the company to deposit ₹1.6 crore in disputed tax through DRC-03 pending outcome.
  2. Reported profit is not backed by operating cash flow, and a warrant issue collapsed Major - Cumulative operating cash flow was ₹9 crore against cumulative PAT of ₹86 crore less other income of ₹11 crore over the seven years FY21-FY26, a ratio of 0.13x. The monitoring agency reported deviation from IPO objects for six consecutive quarters ended March 2024 through June 2025. The 15,00,000 warrants were cancelled when holders missed the 30 July 2026 deadline, and the ₹6.19 crore upfront money was forfeited.
  3. The largest acquisition runs through unaudited subsidiaries, bought at a price tied to declining revenue Major - STM Global, incorporated in Abu Dhabi on 5 February 2026, acquired 100% of APT Companies, LLC on 19 April 2026 at a maximum price capped at 0.694 times CY 2025 revenue, translating to ₹91.15 crore. APT’s turnover fell from USD 15.02 million in CY 2024 to USD 14.20 million in CY 2025. The consolidated statements include unaudited subsidiary financials converted by management from IFRS to Indian GAAP, with the auditor reviewing only the conversion adjustments.
  4. Clean audit opinions, but the auditor repeatedly flagged incomplete records and unaudited subsidiaries Major - The standalone audit opinion was unqualified in FY2022-23, FY2024-25 and FY2025-26. The auditor’s CARO report states the company is “in the process of updating and maintaining proper records” of property, plant and equipment in FY2024-25 and FY2025-26. Bank-filed statements differed from books by 0.8 crore for March 2026 receivables, and the auditor did not audit the underlying financials of the foreign subsidiaries in any of the three years.
  5. Promoter-directors forfeited ₹6.19 crore each when the warrant issue collapsed, while their terms were being changed Major - Vidur Gupta and Sidharth Agarwal each paid ₹6.19 crore as 25% upfront consideration for 3,75,000 warrants on 30 January 2025. The warrants were cancelled on 30 July 2026 when the remaining 75% was not paid, and the upfront money was forfeited. The FY2025-26 AGM notice proposes making both executives liable to retire by rotation and inserting a new Article 20A enabling ESOP trust funding.
  6. Related-party loans are 100% of the loan book but small in absolute terms Minor - Loans to related parties repayable on demand stood at 0.94 crore as at 31 March 2026, representing 100% of total loans. The same was true in FY2024 and FY2023, at 0.85 crore and 0.86 crore respectively. The Board simultaneously approved equity infusion of up to ₹96.18 crore into STM Global for overseas acquisitions.
  7. Revenue recognition is a recurring audit focus while receivables swing sharply Minor - The auditor flagged revenue recognition as a Key Audit Matter in FY2025-26, FY2024-25 and FY2022-23. Management attributed a more-than-50% receivables jump in Q2 FY25 to clients asking for invoicing on month-end dates and to discounting by electronic goods companies. Receivables days peaked at 34.11 in FY25, then fell to 30.75 in FY26, versus 28.21 in FY24 and 28.59 in FY23.

What to watch

Bottom line: This is a company with clean audit opinions and small reported debt, but the cash conversion is weak, the largest acquisition is built on unaudited numbers, and a material tax penalty is unresolved. The risk character is one of governance and record-keeping rather than leverage. Watch the GST appeal, the APT guarantee, and whether the promoters return with a new warrant issue.
