Starteck Finance's record carries a clean audit history, but the annual reports tell a more complicated story. The company is asking shareholders to approve related-party loans that dwarf the borrowers' own financial standing, and its principal subsidiary has negative net worth and a going-concern warning. A retrospective accounting correction flipped a quarterly loss into a profit, and the standalone financial statements for FY2025-26 contain contradictory accounting-basis language.
Key findings
- Related-party loans up to ₹150 crore sought against borrowers with near-zero turnover
Critical- At the 41st AGM notice dated 26 August 2026, Starteck sought enhanced related-party limits of up to ₹150 crore for granting loans for FY 2026-27, up from ₹100 crore approved at the 40th AGM on 18 August 2025. The proposed transactions equal 2.82 times Starteck's consolidated turnover of ₹53 crore as on 31 March 2026. In FY 2025-26, Starteck lent 40.6 crore to Pakshin Enterprises, which reported turnover of ₹0.10 lakh and net worth of -8.24 crore, and 45.68 crore to Aureliv Realty, which reported turnover of ₹1.41 lakh. Every annual report from FY 2019-20 through FY 2025-26 states no material related-party transactions occurred under Section 188 of the Companies Act, while each year from FY 2020-21 onward also records shareholder approval of material significant RPTs under SEBI Listing Regulations. - Principal subsidiary Bhuwalka Steel has negative net worth and a going-concern uncertainty
Major- Bhuwalka Steel Industries Ltd had negative net worth of ₹69.08 crore as at 31 March 2026, and the consolidated audit report dated 13 May 2026 disclosed a material uncertainty related to going concern. Starteck acquired 100% of Bhuwalka Steel on 9 November 2022 for ₹1,00,000, pursuant to a resolution plan approved by NCLT Bengaluru Bench on 24 June 2022 after the corporate insolvency resolution process commenced on 8 April 2019. The subsidiaries' financial statements were not audited by the principal auditor in FY2025-26; these reflect total assets of ₹75.46 crore and total revenue of ₹7.41 crore, and the principal auditor's opinion was based solely on other auditors' reports. - Retrospective land-classification correction flipped a quarterly loss into a profit
Major- Starteck identified in FY2024-25 that freehold land of wholly owned subsidiary Chitta Finlease was inadvertently classified as leasehold land in prior periods, and amortization was incorrectly charged and rectified retrospectively under Ind AS 8. The rectification increased previously reported profit for the quarter ended 31 December 2024 from a loss of 4.07 crore to a profit of 4.11 crore. The standalone financial statements for FY2025-26 state they were "prepared in accordance with Rule 7 of the Companies (Accounts) Rules, 2014 (Previously GAAP)" while also claiming Ind AS preparation, an internal inconsistency in the basis of preparation note. - No ECL recognised on receivables for six consecutive years despite a 3.5x spike
Major- Starteck recognised no ECL on trade receivables in FY2025-26, stating it "does not expect significant risk in current and subsequent period". Trade receivables rose from 1.59 crore as at 31 March 2022 to 5.51 crore as at 31 March 2023, a 3.5x increase in one year. Ageing as at 31 March 2025 showed ₹2.62 lakh beyond 12 months and 4.28 crore in the 0-3 months bucket. - Borrowings secured by pledged tax-free bonds and shares; FY2021 net-debt-to-equity hit 434%
Major- Barclays Bank Plc bank overdraft of ₹38.66 crore is secured by pledge of tax-free bonds and other securities at 8.35% interest as at FY2024-25. Net debt to equity ratio was 434.21% as at 31 March 2021 versus 79.45% as at 31 March 2020, with net debt of 636.43 crore and total equity of 146.57 crore. The Board sought member approval in FY2024-25 to issue securities up to ₹1,500 crore, of which up to ₹1,000 crore for Non-Convertible Debentures. - Goodwill from the 2022 Bhuwalka acquisition assessed for impairment in FY2022-23
Major- Starteck acquired a 100% equity stake in Bhuwalka Steel Industries on 9 November 2022 pursuant to an NCLT order dated 24 June 2022, leading to goodwill on consolidation. Goodwill was assessed for impairment at the CGU level using value in use in FY2022-23. The FY2025-26 consolidated financial statements state that goodwill is recognised as the excess of cost of investment over the Group's share of net assets at acquisition. - Statutory auditor resigned mid-term in 2021; replacement completes five-year term
Minor- M/s. Lodha & Company resigned as statutory auditors effective 12 August 2021, citing RBI Circular No. DoS.CO.ARG/SEC.01/08.91.001/2021-22 dated 27 April 2021 on maximum audit limits for NBFCs. Lodha & Company stated in its resignation letter that there were no concerns, no management-imposed limitations, and no alternative procedures issues prior to resignation. M/s. MKPS & Associates was appointed to fill the casual vacancy at the 36th AGM held 28 September 2021, for a five-year term ending at the 41st AGM in 2026. - Only disclosed disputed statutory due is a ₹13.01 lakh income tax demand
Minor- Starteck disclosed a disputed income tax demand of ₹13.01 lakhs under the Income Tax Act, 1961 for FY 2012-13, pending before the Commissioner of Income Tax (Appeals) as at 31 March 2024. The company stated "There are no pending litigation having impact on financial position of the company" in its standalone financial statements for FY2024-25. The auditor reported under CARO clause vii that the company is generally regular in depositing undisputed statutory dues, with no undisputed amounts outstanding for more than six months as at 31 March 2024.
What to watch
- 41st AGM vote on Item 7. Shareholders vote on enhanced related-party limits of ₹150 crore for FY 2026-27, noticed on 26 August 2026.
- Bhuwalka Steel's going-concern status. Negative net worth of ₹69.08 crore as at 31 March 2026, with management's asset monetization plan and financial support from the holding company to be tested in the next reporting period.
- Auditor appointment vote. Shareholder vote on appointment of Bagaria & Co. LLP as statutory auditors at the 41st AGM (26 August 2026).
- Income tax demand outcome. The only disclosed disputed income tax demand is ₹13.01 lakh for FY 2012-13, pending before the Commissioner of Income Tax (Appeals) as at 31 March 2024.
- Securities issuance utilisation. Use of the ₹1,500 crore securities issuance authorization (including ₹1,000 crore NCDs) approved at the FY2024-25 AGM.
Bottom line: This is an audited record with a clean audit opinion, but the substance sits in the disclosures. The related-party loan approvals sought are multiples of the borrowers' own financial capacity, the principal subsidiary carries a going-concern warning, and the accounting-basis language in the FY2025-26 standalone statements is internally contradictory. The risk is concentrated in related-party exposure and the consolidated position of Bhuwalka Steel; watch the 41st AGM vote and the next reporting period for how these resolve.
