Steelcast Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

Steelcast Ltd’s six-year record is clean on its face: unqualified audit opinions, zero debt, and operating cash flow that fully covers profit. Three things deserve attention: a US court ruling turned a small disputed claim into an actual write-off while three other contingent matters remain unresolved, revenue is concentrated in three customer groups with receivables stretching from 59 to 93 days, and the promoter family holds combined Chair and MD roles with board presence and a small pledge that appeared in FY26.

Key findings

  1. Promoter family holds board and executive control with combined Chairman/MD role, and a small pledge appeared in FY26 Minor - Mr. Chetan M Tamboli serves as Chairman and Managing Director, and the positions are not separate. The Board as of 31 March 2026 comprised ten directors including three family members: Mr. Tamboli, his son Mr. Rushil C Tamboli (Whole Time Director), and his daughter Mrs. Vidhi S Merchant (Non-Executive Non-Independent Director). Promoter shareholding stood at 45.00% as of 31 March 2025, down from 46.07% as of 31 March 2023, and promoter pledge was 3.29% in FY26, up from 0.00% one year earlier.
  2. Statutory auditor rotated after completing its maximum term; cost auditor resigned mid-year and was replaced Minor - Statutory auditor M/s. SSM & Co. completed its five-year term from FY2020-21 to FY2024-25 at the AGM on 31 July 2025, and M/s. Ravi Karia & Associates was appointed unanimously for a term from the conclusion of that AGM until the conclusion of the AGM for FY2029-30. Cost auditor M/s. S. K. Rajani & Co. resigned on 19 May 2025, and the casual vacancy was filled by appointing M/s. Divyesh Vagadiya & Associates for FY2024-25. Total statutory auditor fees rose from ₹8.08 lakhs in FY2020-21 to ₹12.78 lakhs in FY2025-26.
  3. Stock exchanges fined Steelcast ₹2.88 lakh for a 72-day NRC composition lapse; the fines were later waived Clean - BSE and NSE imposed fines totalling ₹288,000 for non-compliance with the Nomination and Remuneration Committee composition under SEBI LODR Regulation 19(1) for 72 days from 23 May 2023 to 2 August 2023. BSE subsequently waived the fines during FY2024-25 after the company represented that no NRC meeting was held during the period of improper composition. Every annual report from FY2020-21 through FY2025-26 states that no significant material orders were passed by any regulator or court impacting the company’s going concern status.
  4. Operating cash flow fully covers profit and the company funds expansion without debt, but receivables are rising and ROCE is declining Clean - Cumulative CFO of ₹380.00 crore exceeded cumulative PAT of ₹349.87 crore over FY21-FY26. In FY26, CFO was ₹86.44 crore against PAT of ₹86.86 crore, a CFO/PAT ratio of 1.00x. Borrowings stood at ₹0.00 crore as of FY26, with a debt-to-equity ratio of 0.00. ROCE declined from 40.88% in FY23 to 37.81% in FY24, 30.06% in FY25, and 29.55% in FY26.

What to watch

Bottom line: This is a disclosed and conservatively financed record with real cash conversion and no debt. The risk sits in two places: the customer concentration that sets the pace of receivables, and the unresolved contingent matters that have already produced one write-off. Read the receivables line and the contingent liability notes with that in mind, and watch whether the ROCE decline reverses as recent capex begins to earn.
