STL Networks Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

STL Networks’ FY2026 record shows a group under strain: consolidated losses of ₹99.11 crore, negative operating cash flow, and net debt of ₹772.87 crore with total borrowings of ₹847.69 crore even as the company raised fresh borrowings. The audit opinions are unqualified, but the auditor repeated the same data-integrity exceptions for a second year, and the promoter family’s control is visible in both board positions and voting outcomes.

Key findings

  1. Cash generation has collapsed while debt service obligations mount Major - Consolidated operating cash flow turned negative at ₹111 crore in FY26, against positive ₹392 crore in FY24, while consolidated PAT fell to a ₹99.11 crore loss. Interest coverage dropped to 0.1x in the latest period, and cumulative CFO/EBITDA over four years is just 0.50x. No dividend was declared for FY2025-26.
  2. Post-demerger, related-party machinery runs on a ₹3,434 crore passthrough arrangement, a ₹347 crore guarantee, and a ₹108 crore warrant issue Major - AOC-2 discloses related-party transactions of ₹3,434.07 crore for passthrough invoicing, collections, payments, forex & hedging and guarantee, approved under the Scheme of Arrangement. The Parent Company provided a corporate guarantee of ₹347.00 crore to a bank on behalf of Sterlite Technologies Limited. On the postal ballot for the ₹108 crore promoter warrant issue, Public-Institutions voted 49.95% against, while promoters voted 100% in favour.
  3. Unqualified audit opinions, but audit-trail and daily-backup exceptions persisted across both FY25 and FY26 Major - Price Waterhouse Chartered Accountants LLP issued an unqualified opinion on the FY2025-26 standalone financial statements, report date May 7, 2026. The auditor noted the audit trail feature was not maintained for modifications by certain users and direct database changes, and that electronic books were not backed up daily on servers in India. The same two exceptions were reported in the FY2024-25 standalone audit report by Walker Chandiok & Co LLP.
  4. Overseas subsidiaries hold net liabilities of ₹259 crore, and ultimate controlling entities do not produce Group financial statements Major - Three overseas subsidiaries audited by other auditors had net assets of ₹(259.06) crore and total comprehensive loss of ₹24.66 crore for the year ended March 31, 2026. Twin Star Overseas Limited, Vedanta Incorporated, and the Anil Agarwal Discretionary Trust do not produce Group financial statements. One jointly controlled entity was included based on unaudited financial information, which the auditor states is "not material to the Group".
  5. STL Networks carries ₹477 crore in corporate guarantees and contested receivables of ₹307 crore, with multiple disputes unresolved Major - Corporate guarantees outstanding as at March 31, 2026 total ₹477.07 crore: ₹130.07 crore for STL UK Holdco Limited and ₹347.00 crore for Sterlite Technologies Limited. Contract assets of ₹155.74 crore and trade receivables of ₹151.41 crore are disputed by customers, with the Parent Company under arbitration. On 12 May 2026, the Delhi High Court dismissed the company's petition to set aside an arbitral award against Bharat Sanchar Nigam Limited, with the company evaluating options to appeal.
  6. Revenue recognition relies on disputed and slow-moving receivables, with customer concentration and a shrinking order book Major - Contract assets and trade receivables include ₹715.53 crore pertaining to slow-moving projects as at March 31, 2026. Aggregate unsatisfied performance obligations fell to ₹3,252.29 crore as at March 31, 2026, from ₹3,745.15 crore a year earlier. The credit rating report dated 17 Nov 2025 noted "Working capital lockup in slow-moving and disputed projects" and "Order book concentration" as weaknesses.
  7. Promoter family controls board and key management positions, with resolutions passing despite significant public-institution opposition Major - Mr. Pravin Agarwal (Chairman) is the father of Mr. Ankit Agarwal (Vice-Chairman), the only inter-se relationship among directors as of March 31, 2026. CEO Mr. Pankaj Malik, appointed May 16, 2025, resigned as CEO effective September 10, 2026. On the ESOS scheme resolution at the AGM on September 30, 2025, Public-Institutions voted 41.44% against while promoters voted 100% in favour.

What to watch

Bottom line: This is a disclosed record of a company whose operations are consuming cash while net debt has risen to ₹772.87 crore in FY26 from ₹559.46 crore in FY25, a \~38% increase, and interest coverage has fallen below 1x. The risk character is concentrated in asset quality, disputed and slow-moving receivables, overseas net liabilities, and guarantees, and in a governance structure where promoter-backed resolutions pass despite near-split public-institution votes. Watch the arbitration outcomes, the NCD repayment schedule, and the CEO transition.
