Sterlite Technologies Ltd Forensic Report - SOIC x StockScans Report

as of Sep 2026

Sterlite Technologies' audit record is clean on its face: Price Waterhouse has signed every annual report since at least FY2020 with an unqualified opinion. But the FY26 balance sheet carries a $101.25 million US jury award under appeal, a "net debt-free" claim built on earmarked cash, and a fourth consecutive year of promoter remuneration paid above statutory limits.

Key findings

  1. A $101 million US jury award is under appeal, and the parent's exposure is unquantified Major - A US jury awarded $96.5 million against subsidiary Sterlite Technologies Inc, confirmed on August 29, 2025 at $101.25 million including fees. The subsidiary has posted a $41.53 million bond and appealed. Management's Q1 FY27 "net debt-free" claim rests on a ₹483 crore cash balance that includes ₹391 crore of restricted cash for this legal matter and a ₹1,500 crore QIP yet to be allocated.
  2. The "net debt-free" claim counts earmarked cash and skips interest-bearing advances and leases Major - Sterlite reported net debt of ₹1,128 crore at March 31, 2026, but that figure counts ₹372 crore of "earmarked investments" as cash. Adding back ₹167 crore of interest-bearing APSA advances and ₹115 crore of lease liabilities puts consolidated net debt at ₹1,817 crore. The APSA advance was received in FY2023-24 and is recognised as a current financial liability.
  3. Reported profit has been reshaped through demerger debits, impairment reversals, and deferred-tax calls Major - The FY25 demerger of the Global Services Business debited ₹1,164 crore to retained earnings in the standalone financial statements. In FY26, the company reversed a ₹31 crore impairment on a Chinese subsidiary's assets based on management's own recoverability assessment, while STL Digital Limited, a wholly owned subsidiary, wrote down ₹41 crore of deferred tax assets, including on carryforward business losses, based on its recoverability assessment. A ₹15 crore exceptional charge for new Labour Codes was also booked in FY26, comprising ₹8 crore gratuity and ₹2 crore long-term compensated absences in standalone statements.
  4. Credit support to subsidiaries is large, while CSR to a promoter-linked foundation has shrunk Major - Sterlite gave a ₹347 crore guarantee to demerged fellow subsidiary STL Networks in FY26. It also routed a ₹23 crore loan through a UK intermediary to a fellow subsidiary. CSR contributions to the promoter-linked Sterlite Tech Foundation fell from ₹11.60 crore in FY21 to ₹1 crore in FY26.
  5. Unqualified opinions mask recurring statutory exceptions and an unresolved bank claim Major - The FY26 standalone report is unqualified but carries an Emphasis of Matter on the US litigation. The electronic-backup exception has appeared for three straight years, and managerial remuneration was paid without Section 197 approval in four consecutive years. The auditor also cannot determine whether a default exists on a disputed ₹25 crore letter-of-credit claim.
  6. Promoter-family pay exceeded statutory limits for three years; warrant issue lifts promoter holding Major - Remuneration requiring shareholder ratification was ₹14 crore in FY24, ₹6 crore in FY25, and ₹3 crore standalone (₹11 crore consolidated) in FY26. Public institutions voted against Mr. Ankit Agarwal's appointment at the 2021 and 2022 AGMs. A March 30, 2026 warrant allotment to promoter Twin Star Overseas, if fully converted, lifts promoter holding to 47.75%.
  7. Subsidiary impairments and reversals rest on management's own assessments, with thin goodwill headroom in Europe Major - Total impairment in the value of investments stood at ₹38 crore at March 31, 2026. The FY26 reversal of a ₹31 crore impairment on Jiangsu Sterlite's assets was based on management's recoverable value assessment. Goodwill impairment sensitivity for the Europe Connectivity business would trigger impairment if the pre-tax discount rate rose to 11.61% or EBITDA margins fell below 11.00%.
  8. Revenue recognition was a recurring audit focus from FY20 through FY23 Major - Revenue recognition was a Key Audit Matter in the standalone auditor's reports for FY20, FY21, and FY22, and in the consolidated auditor's report for FY23. A ₹64.38 crore provision was recorded in FY22 on final settlement with a customer.
  9. The statutory auditor relationship has been stable, with no resignations disclosed Clean - Price Waterhouse Chartered Accountants LLP has been the statutory auditor since at least FY2019-20. It was re-appointed for a second five-year term at the August 26, 2022 AGM. The FY26 CARO report states no auditor resigned during the year.

What to watch

Bottom line: This is a fully audited record with a stable auditor, but the audit opinions carry recurring statutory exceptions and an unresolved bank claim. The central risk is the gap between the headline "net debt-free" position and the balance sheet that supports it, earmarked cash, interest-bearing advances, and lease liabilities all sit outside that claim. The US jury award is the event most likely to move the story; watch the appeal and the QIP allocation.
