Sundaram Clayton Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

Sundaram Clayton’s record is clean on its face: three years of unqualified audit opinions, explicit CARO clears on fraud and wilful default, and contingent liabilities now nearly nil. Three things deserve attention: reported profit depends almost entirely on exceptional land and business sales while core operations remain loss-making, operating cash flow is persistently weak and asset sales, not operations, fund debt repayment and dividends, and the consolidated audit relies on other auditors for subsidiaries that hold the bulk of group losses.

Key findings

  1. Reported profit depends on exceptional land and business sales, while core operations remain loss-making Major - In FY26, a ₹513.49 crore gain on sale of 16 acres of freehold land drove standalone EPS to ₹250.48; excluding exceptional items, standalone EPS was ₹17.57. In FY25, a ₹196.69 crore profit from slump sale of the Hosur aluminium die-casting business drove standalone EPS to ₹122.23; excluding exceptional items, standalone EPS was ₹29.02. On a consolidated basis, excluding exceptional income, EPS was negative ₹118.44 in FY26 and negative ₹98.26 in FY25.
  2. Three years of clean audit opinions, but consolidated audits rely on other auditors for subsidiaries holding the bulk of group losses Major - The standalone audit opinion was unqualified in FY24, FY25, and FY26. In FY25 and FY26, the standalone audit reported "Overseas Equity Investments" as a Key Audit Matter; in FY24, no Key Audit Matters were reported. In FY26, 5 subsidiaries audited by other auditors held total assets of ₹1,422.70 crore and total net loss after tax of ₹300.34 crore. In FY24, 7 overseas subsidiaries with combined total assets of ₹1,052.60 crore were not audited by their respective auditors; their financials were management-certified.
  3. A US subsidiary consolidation absorbed a non-operating entity while US operations continued to generate large losses Minor - Sundaram-Clayton (USA) Limited, a non-operating US subsidiary with no revenue as of 31 March 2025, was merged into Sundaram Holding USA Inc. effective December 16, 2025, with the Certificate of Merger received February 4, 2026. Sundaram Holding USA Inc. reported a loss before tax of ₹267.60 crore in FY25 and ₹184.27 crore in FY24.
  4. Promoter family holds board and management control, while three KMPs resigned within eight months Minor - Mr Venu Srinivasan (Chairman Emeritus & MD) and Dr. Lakshmi Venu (MD) are father and daughter and both serve as executive directors. Mr Vivek S Joshi (Director & CEO) resigned effective 31 March 2026, CFO Ajay Kumar resigned effective 31 August 2025, and Company Secretary P.D. Dev Kishan communicated inability to serve effective 5 April 2026, three KMP exits within eight months, all citing personal reasons.

What to watch

Bottom line: This is a disclosed and audited record with a clean CARO report and contingent liabilities nearly wiped out. The risk sits in two places: the dependence on asset sales to manufacture reported profit, and the consolidated structure where loss-making subsidiaries audited by others carry the weight of the group. Read the gap between standalone and consolidated EPS with that in mind, and watch whether the US guarantees outlast the subsidiary relationship.
