- Organon acquisition terms: Sun Pharma is acquiring Organon at $14 per share, representing an enterprise value of $11.75 billion and an equity value of $3.9 billion. The transaction will be funded using $2.0 to $2.5 billion of Sun's cash reserves alongside bank borrowings, with deal closure expected in 6 to 9 months.
- Scale and portfolio expansion: The merger doubles combined revenues to $12.4 billion across more than 140 markets, expanding presence in key regions like China and ranking the company seventh globally in biosimilars. Innovative products will rise to 27% of combined revenue, while established brands and branded generics will comprise over 50%.
- Leverage and deleveraging: Combined net debt to EBITDA will sit at 2.3 times at closing, supported by roughly $2.5 billion in annual combined cash flows to facilitate accelerated debt repayment. Management plans to refinance debt and maintain shareholder dividend distributions during the deleveraging process.
- Cost synergies and growth: Sun targets up to $350 million in cost synergies over the next two to four years by executing lean operations across the combined business. Growth revitalization will focus on product line extensions for established brands, expanded global commercialization, and new in-licensing opportunities in women's health and biosimilars.
