Tenneco Clean Air India Ltd Forensic Report - SOIC x StockScans Report

as of Aug 2026

Tenneco Clean Air India's record is clean on its face: unqualified audit opinions, no key audit matters, and a CARO report free of adverse remarks on fraud or default. Three things deserve attention: operating cash flow of ₹1,429 crore was met with ₹1,036.58 crore in dividends, standalone PAT exceeded consolidated PAT by 96%, and a newly constituted board with zero director shareholding faces a material CEO pay vote at the upcoming AGM.

Key findings

  1. Cash flow far exceeds profit, but nearly three-quarters left as dividends Minor - Operating cash flow reached ₹1,429 crore against profit of ₹604 crore in FY26, a ratio of 2.37 times. The company declared four interim dividends totalling ₹1,036.58 crore, which consumed 73% of that cash flow and was 4.3 times the ₹240.44 crore paid in FY25. Management stated cash flow was equivalent to 58% of EBITDA after ₹115 crore of capex.
  2. Audit opinions are clean, but the audit trail is not enabled at the database level Minor - The statutory auditor issued an unqualified opinion on standalone and consolidated financials for FY2025-26, with no key audit matters. The auditor reported that the accounting software's audit trail was not enabled at the database level to log direct data changes, and daily backups of electronic books were not kept on a server physically located in India. The CARO report contains no adverse remarks on fraud, wilful default, benami property, fund diversion, evergreening, or statutory dues.
  3. Two NCLT capital reductions returned ₹84.96 crore to shareholders, and a ₹27.17 crore past-service cost hit the P&L Minor - Pursuant to NCLT orders dated 20 April 2021 and 23 November 2023, paid-up share capital was reduced in two steps, with ₹84.96 crore returned to shareholders and surpluses adjusted against Capital Reserve. In FY26, the Company recognised a past service cost of ₹27.17 crore as an Exceptional item in the consolidated P&L following Labour Code amendments effective 21 November 2025. A machine received without consideration from Drive Automotive Inc was independently valued at ₹24.85 crore and booked as deemed equity.
  4. Standalone PAT exceeded consolidated PAT by 96% Minor - Consolidated PAT was ₹602 crore against standalone PAT of ₹1,181 crore, meaning standalone profit was 96% higher than consolidated profit [SQL].
  5. A new board with zero director shareholding saw 36% institutional dissent on ESOP ratification Minor - The eight-member board appointed during FY2025-26 holds no equity shares, and none of the directors form part of the Promoter or Promoter Group. Public institutional shareholders voted 36.43% against ESOP ratification and 36.16% against extending grants to group company employees on 4 May 2026. The Board proposes a revision in the CEO's remuneration effective 1 April 2026, with a basic salary of approximately ₹2.6 crore per annum, subject to member approval at the 8th AGM.

What to watch

Bottom line: This is a disclosed and audited record with strong cash generation and a clean CARO report. The risk sits in governance: a board with no skin in the game, a dividend that consumed 73% of operating cash flow, and a CEO pay proposal that will test institutional appetite at the August AGM. Watch the vote, and read the next annual report for the missing cash-flow bridge.
