Timex Group India’s record shows seven years of unqualified audit opinions and a net-debt-free balance sheet, but the capital structure tells a different story. ₹76.1 crore of preference shares sit in equity despite carrying cumulative dividends and fixed redemption dates that have been extended for over a decade, while new preference shares issued to roll over maturing obligations are classified as debt. The promoter sold a quarter of its stake in two Offer for Sales during FY2025-26, and cumulative operating cash flow of ₹127 crore over ten years covers only 0.48 times cumulative EBITDA of ₹264 crore.
Key findings
- Preference shares of ₹76.1 crore are classified as equity despite being debt-like
Major- The company classified its entire preference share capital of ₹76.1 crore as equity at Ind AS transition, judging there was no valid expectation of repayment. Yet all four series carry cumulative dividends and fixed redemption dates that have been extended multiple times, one tranche of ₹22.9 crore originally due in March 2016 now matures in March 2026. Preference shares issued in 2022 and 2024 to roll over maturing obligations were classified as financial liabilities, while the older ₹76.1 crore remained in equity, and arrears of fixed cumulative dividends stood at ₹14 crore as of March 31, 2026. - Promoter holding fell from 74.93% to 51.00% in two Offer for Sales during FY2025-26
Major- The promoter sold 15,142,500 shares on 25-26 June 2025 and a further 9,018,500 shares on 29-30 December 2025, reducing its stake from 74.93% to 51.00%. During the same period, the Managing Director’s remuneration was revised upward to a ceiling of ₹5.70 crore per annum plus Long-Term Incentive Plan amounts, and shareholders were asked to ratify excess remuneration of ₹14.36 lakh paid above the previously approved limit. The company stated its profits were inadequate to pay reasonable remuneration, and public non-institution shareholders voted 23.82% to 43.15% against the three related resolutions. - Audit opinions are unqualified, but a recurring audit-trail exception has persisted since FY2023-24
Minor- The statutory audit opinion was unqualified in every year from FY2019-20 through FY2025-26. From FY2023-24 onward, the auditor has consistently reported that the primary accounting software did not have the audit trail feature enabled throughout the year, and daily backup of electronic books was not maintained on a server physically located in India. A Material Uncertainty Related to Going Concern was present from FY2019-20 through the nine months ended December 2021 due to accumulated losses exceeding ₹69 crore, without the opinion being modified, and was resolved thereafter. - The company faces unresolved tax and customs disputes spanning two decades
Minor- The Income Tax Department imposed a penalty of ₹4.65 crore under Section 271(1)(c) for AY 2013-14 on transfer pricing adjustments and withholding tax issues; the company has filed an appeal. The Customs Department alleges failure to fulfil export obligations under a 1996 advance authorisation licence, with a claim of ₹1.24 crore. A GST notice dated 11 May 2026 cites discrepancies of ₹66.31 lakh for FY 2022-23, and six income tax demands of ₹1.00 lakh each for AY 2018-19 through AY 2023-24 are pending before the Commissioner of Income Tax (Appeals). - Operating cash flow is cumulatively weak relative to earnings
Minor- Cumulative CFO of ₹127 crore over the ten years through FY2026 covers only 0.48 times cumulative EBITDA of ₹264 crore. In FY2025, CFO was negative ₹3.15 crore against a PAT of ₹31.42 crore. In FY2026, CFO turned positive to ₹90.99 crore, and the company redeemed preference shares of ₹22.9 crore plus accumulated dividends of ₹25.33 crore, improving the debt-equity ratio from 0.40 to 0.27 and return on net worth from 37% to 85%.
What to watch
- GST notice resolution. The notice dated 11 May 2026 for FY 2022-23 discrepancies totalling ₹66.31 lakh plus interest and penalty remains outstanding.
- Income tax appeals. Six assessment years (AY 2018-19 through AY 2023-24) are pending before the Commissioner of Income Tax (Appeals), and the withholding tax component of the ₹4.65 crore penalty for AY 2013-14 is pending before ITAT.
- Customs and civil claims. The ₹1.24 crore customs claim and the ₹1.14 crore civil suit by former stockists remain pending as disclosed on 14 August 2023.
Bottom line: This is a disclosed and audited record with a clean audit trail and a net-debt-free balance sheet. The risk sits in the capital structure: ₹76.1 crore of preference shares classified as equity carry all the features of debt, and the promoter has been taking cash out through royalties, guarantee fees, and dividends while reducing its equity stake. Watch the ₹22.9 crore preference share maturity in March 2026 and whether the AGM confirms the dividend payout.
