Trent's record is clean on its face: six years of unqualified audit opinions, negligible trade receivables, and operating cash flow that consistently backs reported profit. Three things deserve attention: commerce with the loss-making Star joint venture has more than doubled in three years, a large FY24 lease-reassessment exceptional gain reshaped reported earnings, and a recurring audit-trail exception at two associates has persisted for four years without resolution.
Key findings
- A large FY24 lease-reassessment gain reshaped reported earnings
Major- In FY24, Trent reassessed lease terms under Ind AS 116, booking a standalone exceptional gain of ₹406.60 crore net of tax that reduced right-of-use assets by ₹2,719.73 crore and lease liabilities by ₹3,247.04 crore. Without that gain, standalone EPS would have been ₹28.95 instead of the reported ₹40.39. In FY26, the implementation of the Code on Social Security, 2020 effective 21 November 2025 introduced a fresh exceptional loss of ₹25.79 crore standalone, with further impact to be assessed upon notification of applicable rules. - Persistent losses are concentrated in the Star JV and Booker India-led chain
Minor- Trent Hypermarket Private Limited reported total comprehensive losses of ₹129.47 crore in FY26, deepening from ₹71.46 crore in FY25. Booker India Limited returned to a profit of ₹6.09 crore in FY26 after three consecutive years of losses. A new Dubai trading entity, Trent Global Trading LLC incorporated 28 February 2024, reported losses of ₹13.56 crore in FY26. - Public institutional shareholder dissent on director appointments and ESOP has escalated
Minor- At the 23 June 2026 AGM, the re-appointment of Ms. Hema Ravichandar as Independent Director passed with 12.66% votes against, driven by Public Institutions voting 28.41% against. The ESOP 2026 plan passed at the 27 May 2026 postal ballot with 8.38% votes against, with Public Institutions voting 18.70% against. Promoter and Promoter Group held 37.01% of shares and voted 100% in favour on all resolutions, with zero shares pledged. - Contingent liabilities are dominated by long-running income-tax disputes and unresolved customs investigations
Minor- Consolidated income-tax contingent liability stood at ₹79.07 crore in FY2025-26, down from ₹94.90 crore in FY2024-25. Inditex Trent Retail India Private Limited has been under a Special Valuation Branch customs investigation on import pricing since 2010, with a Show Cause Notice dated 9 December 2019 and no resolution as of the FY2025-26 annual report. Massimo Dutti India Private Limited has been under a parallel SVB investigation since 2016, with no personal hearing held to date as of the FY2025-26 annual report. - Goodwill and investment impairments have been small and episodic
Clean- In FY2021, consolidated exceptional items included a provision for impairment of goodwill on consolidation of ₹1.01 crore, and the company acquired Commonwealth Developers Ltd for consideration of ₹0.10 crore, generating goodwill of ₹0.10 crore; CWDL contributed a loss of ₹3.64 crores and nil revenue in FY2021. Goodwill and Distribution Network are classified as intangible assets with indefinite useful life and are tested for impairment annually, as stated consistently from FY2022 through FY2026. - Revenue recognition is routine for a single-segment Indian retailer with negligible receivables
Clean- Trent operates a single reportable business segment of retailing predominantly in India across all reported years. Trade receivables stood at ₹51.14 crore as of FY2026, with receivables days of 0.93 days. Revenue from operations grew from ₹2,593 crore in FY2021 to ₹20,074 crore in FY2026, with CFO covering reported profit 1.55 times in FY2026.
What to watch
- SVB customs investigations. The Inditex Trent investigation (pending since 2010) and the Massimo Dutti investigation (pending since 2016) had no scheduled hearing date as of the FY2025-26 annual report.
- Audit-trail gaps at associates. Whether the two associates resolve the enablement gaps that have persisted since at least FY2023, to be reported in the FY2026-27 consolidated audit.
- Freehold-land title. Whether the parcels held in a former group company's name since at least FY2022 are transferred to Trent Ltd, to be reported in the FY2026-27 standalone CARO.
Bottom line: This is a disclosed and audited record with real cash conversion and negligible credit risk in the core retail business. The risk sits in two places: the growing commercial entanglement with the loss-making Star joint venture, where losses deepened to ₹129.47 crore in FY26, and the lease-reassessment gain that flattered FY24 earnings. Watch whether the Star JV's losses narrow and whether the audit-trail gaps at the two associates finally close.
