TVS Electronics Ltd Forensic Report - SOIC x StockScans Report

as of Jul 2026

TVS Electronics carries a subsidiary-free structure since FY2020, but two things demand attention: contingent liabilities have multiplied to ₹54.8 crore with zero provision, and a single intangible asset sits at ₹11.87 crore after two impairments with no further write-down in four years.

Key findings

  1. Contingent liabilities surged to ₹55.6 crore with zero provision Major - Contingent liabilities jumped from ₹3.21 crore in FY2022-23 to ₹55.61 crore in FY2023-24, then stood at ₹54.8 crore in FY2025-26. The largest item is a ₹35.58 crore customs duty order on thermal line printers, issued by the Commissioner of Customs (Audit), Chennai, on 6 December 2023. The company has booked no provision against any disputed claim, stating it is confident they will not materialise.
  2. An intangible asset has been impaired twice but its ₹11.87 crore value is frozen Major - Business Rights (Customer Support Services CGU) was impaired by ₹3.5 crore in FY2019 and another ₹3.31 crore in FY2022, yet its carrying value has remained at exactly ₹11.87 crore from FY2022 through FY2026. In FY2022, the auditor designated impairment assessment of this indefinite-life intangible as a Key Audit Matter, testing management's revenue and discount rate assumptions. In FY2024, the company assessed the asset considering post-pandemic trends and evolving business models and determined no additional impairment was required.
  3. Amalgamation restated comparatives and a new Labour Codes exceptional item shapes profit Minor - The NCLT-sanctioned amalgamation of promoter holding company TVSI into TVS Electronics, effective 19 December 2025 with an appointed date of 1 April 2023, restated prior-period comparatives in the FY2025-26 and FY2024-25 financial statements. In FY2025-26, the company recognised an exceptional item of ₹74 lakhs for "Statutory impact of new Labour Codes" following notification of four Labour Codes on 21 November 2025. In FY2021-22, a net exceptional item of ₹49 lakhs comprised a ₹3.31 crore impairment on business rights offset by a ₹3.8 crore write-back of liabilities no longer required.
  4. A ₹25 crore indemnity deposit to the promoter holding company sits on the balance sheet Minor - TVS Electronics paid ₹25 crore to TVS Investments Private Limited as an Indemnity Deposit, classified under Other Assets, as reported in FY2018-19 and still outstanding in FY2021-22. Shareholders approved a brand usage fee payable to a promoter-linked LLP at up to 1% of consolidated net sales effective 1 April 2023. The company states no material related party transactions occurred in FY2025-26 and four prior years.
  5. A promoter family controls the board through special rights and a spouse Managing Director Minor - Mr. Gopal Srinivasan holds 59.71% of the company post-amalgamation and is the sole Promoter. The Articles of Association were amended on 23 April 2026 to grant him special rights to nominate up to two Directors, to have a nominee Director considered for appointment as Managing Director, and to nominate the Chairman, so long as he holds at least 26% equity. Mrs. Srilalitha Gopal, his spouse, has served as Managing Director since 11 May 2018 and drew ₹1.21 crore in FY2025-26.
  6. Revenue growth decelerated in FY26 as management shed low-margin orders Minor - Total revenue grew 6% YoY to ₹455 Crores in FY2025-26, down from 17% YoY growth in FY2024-25, with management attributing the slowdown to letting go of low-margin customers or orders. Trade receivables provision was ₹3.57 crore as at March 31, 2024, compared to ₹1.11 crore as at March 31, 2023. The company combined segments effective April 1, 2021, and split segments effective April 1, 2019.
  7. Operating cash flow weakened sharply in FY19 while dividends continued Minor - Standalone CFO fell from ₹37.73 crore in FY18 to ₹-7.39 crore in FY19, while PAT was ₹15.00 crore and ₹8.83 crore respectively. The company paid a dividend of ₹3 crore in FY19 despite negative free cash flow of ₹-12.83 crore. In FY2023-24, the company capitalised ₹1.24 crore out of the opening balance of intangible assets under development and ₹1.74 crore out of the opening balance of capital work-in-progress.
  8. A promoter-entity amalgamation collapsed the holding chain and brought unrecorded intangibles onto the books Minor - TVS Electronics has had no subsidiary, joint venture, or associate since FY2020. The amalgamation of TVS Investments Private Limited into TVS Electronics, sanctioned by NCLT on 27 November 2025 and effective 19 December 2025, transferred all unrecorded intangible assets, including goodwill, brand usage rights, and customer-base, to the company without further act or deed.

What to watch

Bottom line: This is a disclosed and audited record with an auditor rotation and a simple, subsidiary-free structure. The risk concentrates in two places: the ₹54.8 crore of contingent liabilities carried with zero provision, and the ₹11.87 crore intangible whose carrying value has not moved despite two prior impairments and acknowledged business model shifts.
