TVS Infrastructure Trust’s record is clean on audit: unqualified opinions across all periods, and operating cash flow covers distributions. Three things deserve attention. Unit-issue proceeds of ₹1,050 crore were routed as loans to subsidiaries to repay Sponsor loans, with terms that waive default on non-payment. And consolidated ROCE sits at just 2.9%, with net debt at 7.2 times EBITDA, even as capital allocation prioritised Sponsor loan repayment.
Key findings
- Unit-issue proceeds of ₹1,050 crore were routed to repay Sponsor loans
Major- Proceeds from the unit issue were advanced as loans to subsidiaries for partial repayment of external borrowings and full repayment of Sponsor’s loans in FY2025-26. These loans carry a 12.75% coupon, are repayable over 20 years, and non-payment due to unavailability of free cashflows is not an event of default. Payable to the Investment Manager dropped from 5.79 crore to ₹77.66 lakhs year-on-year. - Audit opinions are unqualified, with a recurring emphasis of matter on unit-capital classification
Minor- The standalone and consolidated audit opinions for FY2025-26 are unqualified. Both reports carry an Emphasis of Matter, a special call-out in the audit report, stating that “Unit Capital” is classified as “Equity” instead of per Ind AS 32 to comply with InvIT Regulations; the opinion is not modified. The ₹922 crore acquisition from the Sponsor, settled through unit issuance, was identified as a Key Audit Matter, an area requiring the most judgement, in the consolidated audit report dated 14 May 2026.
What to watch
- GST demand orders and show cause notices. Resolution of demands against SMILP, MILP, and MRILP, including the Intervention Application in the Supreme Court in the Safari Retreats case; no scheduled hearing date disclosed in the FY2025-26 Annual Report.
- SEBI Show Cause Notice to the Trustee. The Show Cause Notice dated May 30, 2025, issued to ATSL had no scheduled hearing date disclosed as of the FY2025-26 Annual Report.
- Title transfer for land and DILP title deed. Resolution of the ₹93.51 crore freehold land transfer and the DILP title deed, as noted in the FY2025-26 Annual Report.
- MIDC civil suit. Outcome of Regular Civil Suit No.26/2007 filed by DILP against MIDC; a stay has been in effect since October 17, 2007, with no scheduled hearing date disclosed.
- Distribution payment. The ₹1.58 per unit distribution approved May 14, 2026, is payable within 5 working days from the record date.
Bottom line: This is a disclosed and audited record with cash flow that comfortably services distributions. The risk sits in two places: the capital allocation choice that directed ₹1,050 crore of unit-issue proceeds to repay Sponsor loans while consolidated returns remain at 2.9%, and the recurring emphasis of matter on unit-capital classification in the unqualified audit opinions. Watch the GST hearings and the title transfers.
